All questions as to whether a conflict of interest exists is resolved by a vote of the board of directors in which the interested director may not vote.”

Approximately once per year, the ceo will review the sr. Vp's compensation, consider compensation from comparable positions at other organizations, and revise the sr. Vp's compensation, if appropriate. This process was last undertaken in 2021.”
