Governance Explanations

PArt VI (Core form) LINES 7A, 11B, 12C, 15, 19 AND FORM 8868

LINE 7A In acccordance with the Library's by-laws, the governing board of Trustees has the authority to manage and control the affairs of the Library. The board of trustees shall consist of no more than thirty eight members. By virtue of their respective offices, the Mayor of the City of New York, the Comptroller of the City of New York, the Speaker of the City Council of the City of New York and the President of the Borough of Brooklyn are Ex-Officio Trustees of the Library. Each Ex-Officio may appoint a representative to serve on his or her behalf as a member of the board. Each representative appointed by an Ex-Officio shall be counted as part of the quorum, may vote and have all the same rights and privileges of the Ex-Officio or any other member of the Board, except in cases where this is prohibited by law. The Mayor of the City of New York and the President of the Borough of Brooklyn may each appoint eleven Trustees to hold offices for a term of three years or until their resignation or their successor is appointed. LINE 11B The Form 990 is prepared by management, with the assistance of our auditors, EisnerAmper LLP. Once a final draft of the Form 990 is received from the external auditors, the Vice President of Finance and Controller conducts a first level review with the Executive Vice President for Finance and Administration and Chief Financial Officer (CFO). Pending any amendments or corrections, the CFO, Vice President of Finance and Controller, then reviews the packet with the President and CEO. After reviewing the draft with the President and CEO, the draft Form 990 is forwarded to the members of the Audit and Finance Committees in preparation for formal review at a joint meeting of the Audit and Finance Committees attended by the external auditors, senior members of the Library's executive team along with the CFO, Vice President of Finance and Controller. At this meeting, staff reviews the reports with the attendees. Questions are fielded and if necessary, corrections are made. Once the review is completed, the members of the Audit Committee vote to accept the report and to recommend acceptance by the full Board of Trustees. The report (amended if required) is then forwarded to the full Board for their review and final acceptance. The complete report is included as pre-read materials in the Board meeting packet. The Audit Committee chair presents the report to the full Board, highlights the contents, and recommends final acceptance. If there are no corrections or amendments, the Board of Trustees votes to accept the IRS Form 990 as presented. Once this process is complete, the forms are signed by the CFO and then submitted to the IRS by our external auditors. LINE 12C The Library has a conflict of interest policy which is signed annually by every member of the Board of Trustees and key (senior) members of the Library's management team. A copy of the Library's conflict of interest policy can be obtained from Library's website at http://www.bklynlibrary.org/sites/default/files/files/pdf/trustees/Conflic tInterest.pdf LINE 15 The salary of the President and CEO is based on a negotiated written employment contract, which includes a yearly adjustment for cost of living increases. It also includes a provision for a discretionary bonus decided by the Board of Trustees Executive Committee. The contract is renewable every three years. The salaries of the other officers and key employees are based on a compensation program designed by an independent consultant, Ernst & Young. The program includes salary grades. It is reviewed regularly and updated, as needed, to adjust the salary structure and ranges to ensure competitive salary ranges. LINE 19 Conflict of Interest Policy The Library has a conflict of Interest policy for members of the Board of Trustee and key members of staff. Financial Statement Notes

Part III - QUESTION 1A

The library has collections of non-circulating library materials, including books, periodicals and other items. These collections are maintained by the library under curatorial care and are held for research, education and public exhibition in furtherance of public service. Proceeds from the sales of collections are used to acquire other items for collections. The cost of collections purchased by the libary is expensed in the year of purchase. The value of the library's collections, for financial statement purposes, cannot be determined. The cost of circulating books and other library materials are not recorded as collections, but are recorded as an expense in the year purchased, as the useful lives of such items are relatively short.

Part III - Question 4

Brooklyn Public Library owns and has made accessible several important special collections that include the Hunt Collection of Children's Literature - 7,000 juvenile books dating back to the mid 18th century; the Civil War Collection - a 6,000 volume collection purchased in 1908; and a circulating orchestral score collection. Moreover, the Library's local history unit, the Brooklyn Collection, maintains numerous important collections, none more important than the entire Brooklyn Daily Eagle photography archives: over 200,000 images of newsworthy local, national, and international events. The Brooklyn Collection's general photography collection comprises 19th and 20th century photographs, photogravures, portfolios, photo albums, stereo views, and cyanotypes. The collection includes photographs taken by well-known photographers such as Berenice Abbott, Alvin Langdon Coburn, Thomas Roma, Alfred Stieglitz, Irving Underhill, and Underhill and Underhill. In addition, the Brooklyn Collection maintains a number of smaller collections, including some ephemeral collections such as the Brooklyn Dodgers memorabilia collection. The Library's special collections further its exempt purpose in that they provide the people of Brooklyn free and open access to a well-preserved record of society's knowledge, history, and culture.

The Library is subject to the provisions of the Financial Accounting Standards Board's ("FASB") Accounting Standards Codification ("ASC") Topic 740, "Income Taxes", relating to accounting and reporting for uncertainty in income taxes. For the Library, ASC Topic 740 is potentially applicable to the incurrence of unrelated business income, attributable to passport services provided to the public. However, ASC Topic 740 has not had, and is not anticipated to have, a material impact on the Library's financial statements. The Library is no longer subject to examination by federal or state tax authorities for fiscal years prior to 2011.

IRS990/Desc0The Central Library provides subject specific divisions with greater depth in reference collections, and services and free internet (including wireless access) to all patrons. In addition, the Central Library offers collections and services dedicated to the Brooklyn Collection and world language. The Brooklyn Collection provides access to historic resources to researchers around the world, local students, genealogists, journalist etc. In FY 2014 the Central Library generated 1.9 million circulation and renewals of library materials and 883,514 holdings. During this same period staff attended to 457,350 reference inquiries from patrons and delivered 3,451 programs to 110,838 participants. The Brooklyn Public Library opened the Shelby White and Leon Levy Information Commons ("Information Commons") in FY 2013. The Information Commons marks a new approach to public library services and space. Located at the Central Library, this new center consists of public meeting rooms, a training lab, and an open workspace, each equipped with technology and resources to facilitate individual and group work, learning, and creativity. In Fiscal Year 2014, the Information Commons hosted over 1,500 public and professional development events, drawing a combined attendance of over 13,000. Every day, visitors to the Information Commons can find several free events to educate and enrich, including English and foreign language conversation groups, one-on-one counseling services, design and media production workshops, and a robust array of computer classes. The Information Commons' six public meeting rooms and recording studio host a variety of private meetings. In the last fiscal year, over 2,100 library card holders scheduled over 8,400 reservations. Each month, the Information Commons facilitates around 7,000 computer sessions on its 25 public computers. The Wi-Fi access numbers are even more impressive. In December 2012, the month before the Information Commons opened, Central Library facilitated 4,600 wireless sessions on its public network. Since the Information Commons opened, that number increased drastically, with over 10,000 sessions most months (and some months totaling 12-13,000). The Information Commons has also helped BPL create and cultivate partnerships with over two dozen organizations, including BRIC, Bedford-Stuyvesant Restoration Corporation, and Immigration Advocates Network. The Brooklyn Public Library system also registered 10.7 million visits to its website and offered over 2 million computer sessions to our patrons and we've seen notable increases in our Wi-Fi use and digital circulation, 39% and 31% respectively.
