“The Organization has seven founding members, which are comprised of organizations with like missions. Each founding member to whom the Organization has an outstanding debt that is evidenced by a demand note shall appoint an individual to be its voting representative at meetings of the Founding members. Founding members who are not permitted to have a voting representative shall not vote on matters coming before members.”

“Decisions by the Organization's Board of Directors on any of the following matters shall not be effective unless and until approved by the voting members: 1. amendments to the Organization's Articles of Incorporation, 2. creation of subsidiaries or affiliates of the Organization, 3. dissolution, liquidation, and winding up the affairs of the Organization, 4. disposal of a material portion of the assets of the Organization, 5. merger or consolidation of the Organization with or into any other entity; or a joint venture with another entity, 6. adoption of the annual operating and capital budgets of the Organization, including fees charged for services rendered by the Organization, and 7. incurrence of any unbudgeted capital expenditure in excess of $15,000 (in a single transaction or in aggregate with other unbudgeted transactions in a single year).”

“The form is reviewed individually by each member of the Audit Committee prior to a meeting of the Audit Committee to discuss their individually performed review. Discussions of the committee and the final verification of the form by the Audit Committee are documented in the minutes of the meeting. Subsequent to the review and discussion by the audit committee, the form is reviewed by each member of the Executive Committee individually prior to a meeting of the Executive Committee. At the meeting of the Executive Committee, the deliberations regarding the form and the final verification of the form by the Executive Committee are documented in the minutes of the meeting. After the Executive Committee has approved the 990, the form is signed by the President and CEO. The signed form is provided to the full Board by the President and CEO of the organization before the 990 is filed.”

“Members of the Governing Board must file written conflict of interest disclosure forms prior to each meeting of the Board. These disclosure forms are reviewed by the President and CEO prior to the meetings of the Board.”

“The process for determination of compensation of the Organization's top management official is performed by the compensation committee. The CEO determines the compensation of key employees. Deliberation includes review of the American Society of Association Executives' Compensation Guide.”

“The Organization does not make its Bylaws, conflict of interest policy, or financial statements available to the public.”

“The Organization's Audit Committee assumes responsibility for oversight of the audit, including selection of the independent auditor. This process is consistent with prior years.”
