“The organization has seven founding members, which are comprised of organizations with like missions. Each founding member to whom the organization has an outstanding debt that is evidenced by a demand note shall appoint an individual to be its voting representative at meetings of the founding members. Incurrence of any unbudgeted capital expenditure in excess of $15,000 (in a single transaction or in aggregate with other unbudgeted transactions in a single year).”
