“At the march 28, 2014 board of directors meeting david zieff cpa and thomas durand cpa presented the 2013 audit. David reviewed the 3 page condensed version of the full audit report. Tom has already reviewed this with meredith. 96% of income is from grants, ideally, grant money should be spent as it comes in. We are unusual for non profits in that we get some of our grant and contract money in advance. We are owed approx. $80,000 of the $390,481 earned. Change in net assets for 2013 was ($7,035). Chuck moved to accept the audit, and marilyn seconded. Discussion: this aligns with our filed 990. Vote: passed unanimously.”
“The conflict of interest policy is reviewed and distributed at the first meeting of the calendar year. Each board member is asked to read, and disclose if they have any conflict of interest, and complete the form accordingly. The board members are asked to volitionally disclose any conflict of interest that they may have. If a member of the board or the executive director has any concern about a possible conflict of interst of any board member, it is discussed with that person. If there is any concern about a conflict of interest, the board memeber is asked to preclude themselves from any discussion or vote on an issue. These documents are made available to the public upon request.”
“If there are funds in the budget to consider an increase in compensation for the executive director, the board does due diligence in researching what other executive directors earn at other ahecs and in other local non profits in the region. The bod decides on what the salary shall be, and it is tied to performance. In terms of other staff compensation, the executive director decides on the salary and any changes, based on salary ranges in the region for same or similar postions in other ahecs or non profits. Any changes in compensation are based on performance. If there are changes, or a new position, the executive director informs the board of directors.”

The tax returns of ahec for the three years ended september 30, 2013 are subject to examination by the taxing authorities.”
