Governance Explanations

Form 990, Part VI, Section B, Line 11B

The organization has its form 990 prepared by an independent accounting firm and has established the following review process to ensure that the information reported is complete and accurate. When the form 990 has been prepared, a copy is presented to kickstart's audit committee and the board of directors. Once approved, the return is filed with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

The organization currently has in place a conflict of interest policy that applies to all director, officer, or key employees, which it annually monitors and enforces. Each director, officer and key employees must annually sign and submit to the chairperson a statement which affirms such person: (a) has received a copy of the conflict of interest policy, (b) has read the policy, (c) has agreed to comply with the policy, and (d) understands the organization is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. If a potential or actual conflict is disclosed at any time, at the request of the chairperson of the board or committee, or upon a majority vote of the board or committee members (excluding the interested person), the interested person must leave the meeting during the discussion of and/or the vote on, the transaction or arrangement that results in the conflict of interest. The chairperson of the board or committee must, if appropriate in such chairperson's discretion, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. The minutes of the board and all committees with board-delegated powers shall contain: (a) the names of the persons who disclosed or otherwise were found to have a private interest in connection with an actual or possible conflict of interest, the nature of the private interest, a description of any action taken to determine whether a conflict of interest was present, and the board's or committee's decision as to whether a conflict of interest in fact existed or could reasonably have been construed to exist; and (b) the names of the persons who were present for discussions and votes relating to the transaction or arrangement, the content of the discussion, including any alternatives to the proposed transaction or arrangement, and a record of any votes taken in connection therewith.

The organization has established a process for determining the compensation of the ceo and president & coo, which includes the following: 1. Compensation committee review and deliberation. 2. Evaluation of comparable data, compensation surveys or studies. 3. Recommendation for review and approval by the board of directors. The compensation committee's decision on the amount of compensation paid is required to be adequately documented in a contemporaneously written format and document the date of the decision, the members present during the decision and those who voted on it, the full terms of the transaction that was approved and the comparable data used and relied upon to make the decision. The process was last undertaken in fy2024.

THIS TRAINING FRAMEWORK EMPOWERS FARMERS WITH SKILLS AND KNOWLEDGE ON SUSTAINABLE IRRIGATION AND WATER MANAGEMENT, AGRICULTURAL BIODIVERSITY, PLANTING STRATEGIES, CROP STORAGE, COMMERCIAL OPTIMIZATION, AND FINANCIAL ACUMEN. ACROSS SUB-SAHARAN AFRICA, KICKSTART WORKED WITH PUBLIC AND PRIVATE PARTNERS TO REACH NEW GROUPS OF FARMERS EXPERIENCING THE INTENSIFYING CHALLENGES - SUCH AS PROLONGED DROUGHTS AND FLOODS - TO BUILD GREATER RESILIENCE TO FUTURE WEATHER SHOCKS. TO BRING OUR TOOLS TO AS MANY FARMERS AS POSSIBLE, KICKSTART EXPANDED ITS PARTNERSHIPS WITH LOCAL AND NATIONAL NGOS, MFIS, GOVERNMENTS, AND RELIEF AGENCIES TO GENERATE IMPACTS IN LIVELIHOODS, YOUTH ENGAGEMENT AND ENTREPRENEURSHIP, AND CONSERVATION ACROSS OUR THREE REGIONAL HUBS IN SUB-SAHARAN AFRICA. KICKSTART ALSO WORKED TO STRENGTHEN LOCAL AGRICULTURAL VALUE CHAINS AND DISTRIBUTION NETWORKS FOR ITS IRRIGATION TOOLS.TO DATE, KICKSTART HAS HELPED OVER 1.5 MILLION PEOPLE TO CLIMB OUT OF POVERTY; CREATED 300,000 PROFITABLE FARMING BUSINESSES; AND FEEDS OVER 15 MILLION PEOPLE WITH NUTRITIOUS FRUITS AND VEGETABLES ANNUALLY.IN FY24 (JULY 2023 - JUNE 2024), KICKSTART INCREASED ITS IMPACT BY 44%, DISTRIBUTING 19,539 IRRIGATION PUMPS, UP FROM 13,590 THE PREVIOUS YEAR. KICKSTART'S PUMPS ENABLED MORE THAN 15,000 SMALLHOLDER FARMERS IN SUB-SAHARAN AFRICA TO LAUNCH AGRICULTURAL ENTERPRISES, GENERATING AN ESTIMATED $11 MILLION IN NEW PROFITS AND WAGES - AND HELPING THEM BREAK THE CYCLE OF POVERTY. IN TOTAL, MORE THAN 80,000 PEOPLE BENEFITED FROM THESE INCREASED INCOMES, IMPROVED FOOD PRODUCTION AND SECURITY, AND RESILIENCE TO CLIMATE SHOCKS SUCH AS DROUGHTS AND FLOODS.OVER THE PAST YEAR, KICKSTART FURTHER EXPANDED THE REACH OF ITS NEWEST AND MOST AFFORDABLE IRRIGATION PUMP - THE STARTER PUMP - BY LAUNCHING IT IN TANZANIA AND NIGERIA.
