Mission

Our mission is to run a world-class urban park in the heart of stamford that serves as both an oasis in city life and a vibrant, diverse, green-space that inspires sound environmental practices and learning.

The purpose of the organization is to manage and raise funds for the development, operations and maintenance of the mill river park and other open space projects within the city of stamford, connecticut.

Governance Explanations

Form 990, Part VI, Section A, Line 4

The bylaws were amended to set term limits for the at-large directors. No at-large director shall be elected to serve more than three consecutive full two-year terms, provided, however, that (a) a sitting officer may be re-elected for an additional term by vote of the board, notwithstanding the aforesaid limitation, and (b) term-limited at-large directors shall become eligible for re-election to the board after one year of retirement therefrom. For purposes of this paragraph, an at-large director elected mid-term to fill a vacancy shall be deemed to have served a full term if he or she has served for more than eighteen (18) months.

The form 990 is provided to the finance committee electronically. The form 990 is reviewed by the finance committee of the board of directors before it is filed, and it is also distributed to the board of directors before filing.

Form 990, Part VI, Section B, Line 12C

The organization consistently and regularly monitors and enforces the organization's conflict of interest policy. All board members are covered under the conflict of interest policy. Annually all board members sign a conflict of interest disclosure form. Staff members are covered under a policy included in the employee handbook, which each employee is required to sign. A person who has a conflict is required to disclose it to the board and determinations are made by the full board. All conflicts are reviewed at the board level. The board will determine whether the conflict warrants the conflicted board member to recuse himself or herself from discussion and/or voting on the subject of the conflict, on a case by case basis.

Form 990, Part VI, Section B, Line 15A

Senior executives'(executive director, director of programs and outreach, director of development, office manager and land manager) compensation is reviewed relative to data on non-profit executive's compensation in the fairfield and westchester county area. Senior executives submit an annual self appraisal which is reviewed by their immediate superior who provides comments/feedback on the self appraisal. The combined self appraisals are reviewed by chairman and discussed with the finance committee during the budget process. The executive director recommends changes in compensation to the chairman and committee for employees at the director and manager level. The full board approves changes in compensation for: the executive director, director of programs and outreach, director of development, land manager and office manager. The executive director approves compensation increases for lower level employees after review by the finance committee. This process was last undertaken between april and may 2016, and the board's approval of the updated salaries is documented in the minutes of the meeting.

Financial Statement Notes

PART V, LINE 4:

The collaborative maintains donor-restricted funds whose purpose is to provide long term support for programs. In classifying such funds for financial statement purposes as either permanently restricted, temporarily restricted or unrestricted net assets, the board of directors looks to the explicit directions of the donor where applicable and the provisions of the laws of the state of connecticut. It is the intent of the board that a portion of income shall be spent for operations. During 2016, $500,000 in temporarily restricted funds related to the ice rink project were reclassified to permanently restricted net assets to conform to the donor's original intention.

PART X, LINE 2:

The collaborative recognizes the effect of income tax positions only if those positions are more likely than not to be sustained. Management has determined that the collaborative had no uncertain tax positions that would require financial statement recognition or disclosure. The collaborative is no longer subject to examinations by the applicable tax jurisdictions for periods prior to 2013.
