Governance Explanations

Form 990, Part VI, Section A, Line 2

The spouse of a board member is affiliated with a company that the agency is purchasing a solar system from. The board member has recused herself from discussions on solar.

Form 990, Part VI, Section B, Line 11B

The form 990 is completed and reviewed by the business director and the executive director. The form 990 is then forwarded to the board of directors.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is reviewed by the board of directors annually. As part of the review process, officers, directors and trustees are required to disclose in writing any business or personal relationships which may present a conflict of interest. The president of the board of directors is responsible for reviewing all disclosure statements and reporting any potential areas of concern to the full board and the executive director. Any director having a duality of interest or possible conflict of interest in a matter before the board of directors must recuse him/herself from voting on the subject.

Form 990, Part VI, Section B, Line 15

The executive director is reviewed annually by the executive committee. Decisions on salary adjustments are made by the president in collaboration with the finance committee. All other key employees receive periodic reviews by their direct supervisor. The board of directors adopts a budget for salary increases as part of its annual budget preparation.

Form 990, Part VI, Section C, Line 18

It may also be viewed on the givegreater.org website. Fellowship place updates the agency's profile on this site at least annually and posts the current 990 as part of the regular updates.

Form 990, Part VI, Section C, Line 19

Upon request from a member of the public, the organization will forward by u.s. Mail or, if available, electronic mail, all governing documents (e.g. By-laws, certificate of incorporation, conflict of interest policy, and financial statements.)
