Form 990, Part VI, Line 1B NUMBER OF VOTING MEMBERS WHO ARE INDEPENDENT

There are two ex-officio trustees, the governor of connecticut and the lieutenant governor of connecticut. Historically, these individuals do not participate in governance activities at the university and they are reported as independent.

Form 990, Part VI, Line 4 Significant changes to organizational documents

During the FYE 6/30/24, a corporation resolution was amended to make more uniform the monetary thresholds for corporation approval of certain transactions, adjust the signature authority of certain officers, and update the position titles or descriptions for a senior vice president and two vice presidents. In addition, during the FYE 6/30/24 the Yale Corporation By-Laws were amended to update the name of the Peabody Museum.

Form 990, Part VI, Line 5 Diversion of organization assets

The university has a system of internal controls designed to prevent and identify the diversion of its assets. During the fiscal year ended june 30, 2024, the university became aware of inappropriate diversions of university funds totaling approximately $506,000 involving ten university employees, acting separately, who falsely charged and misrepresented personal expenses as business expenses on university- issued purchasing cards. Once the fraud was discovered, yale conducted a thorough internal investigation and concluded that no officers, trustees, disqualified persons, or other employees were complicit in the diversion of these funds. Yale took necessary action which included notifying relevant law enforcement authorities as appropriate, fully cooperating with their investigation, and either terminating the employment of employees involved or subjecting them to disciplinary action pursuant to university policy. Yale has acted to prevent future diversions by further strengthening its financial processes, policies, and internal controls. Specifically, yale has expanded efforts to promote a strong internal control culture, clarify roles and responsibilities, develop a risk-based quality assurance function, provide a robust compliance training program focused on ethics, internal controls, and fraud awareness, and strengthen feedback loops that lead to continuous improvement and accountability. These university-wide initiatives will contribute to advancing a strong culture of financial integrity, accountability, insight and stewardship of yale resources.

The yale university conflict of interest policy obligates each officer, trustee, and key employee to promptly disclose any actual or potential conflict of interest as defined in the policy. Each such person must sign a statement annually affirming that he or she has received a copy of the conflict of interest policy, has read and understands the policy, agrees to comply with the policy, and understands that the corporation is charitable and in order to maintain its exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. In connection with any actual or possible conflict of interest, an interested person must disclose the existence of his or her financial interest and be given the opportunity to disclose all material facts to the director and members of the committee with governing board delegated powers considering the proposed transaction or arrangement. After disclosure of a potential conflict of interest, the interested person is excused from the governing board or committee meeting while the determination of a conflict of interest is made, and is recused from participating in any vote on the matter.

Per the agreement, the university reserves a pedestrian ingress and egress easement over the real property as part of the conservation easement for the purposes of inspecting the real property to determine compliance with the provisions, terms, covenants and purposes of the conservation easement. In addition, the university has the right to enforce the terms of the conservation easement, and to take necessary actions to remedy or abate violations of this conservation easement and to prevent any activity on the real property inconsistent with the purpose of the conservation easement.

LUX supports this mission by making many of these objects and resources accessible, so that new knowledge and understanding can be built by those within and beyond Yale. The Yale University Art Gallery: The Yale University Art Gallery, founded in 1832, is the oldest university art museum in America. The museum collects, preserves, studies, and presents art in all media, from all regions of the globe and across time. The museum's exceptional collection - numbering over 300,000 objects - is the core of its identity. The collection includes ancient art, Asian art, African art, Indo-Pacific art, American paintings and sculpture, American Decorative Arts, art of the Ancient Americas, prints and drawings, photography, numismatics, European art, and Modern and Contemporary art. The Art Gallery's mission is to collect, preserve, study, and present art in all media and to serve as a center for teaching, learning, and scholarship for the Yale campus, community, and national and international audiences. The Art Gallery seeks to make the museum a place where creativity continuously enriches our lives, sparks curiosity and inspiration, and generates wonder, new ways of thinking, and mutual respect. It is a center for teaching, learning, and scholarship and is a preeminent cultural asset for Yale University, the wider academic community, and the public. The Yale Center for British Art: The Yale Center for British Art is a public art museum and research institute for the study of British art and culture. The Yale Center for British Art, which opened in 1977, holds the largest and most comprehensive collection of British art outside the United Kingdom. The collections of paintings, sculpture, photographs, prints, drawings, rare books, and manuscripts present the story of British art and culture, and its global contexts, from the fifteenth century to today. The Center offers a year-round schedule of exhibitions and programs, including talks and lectures, conferences, films, concerts, and performances. The Yale Center for British Art oversees an active research program through which it promotes and fosters the scholarship of all aspects of British art and material culture. Spending from the endowment provides Yale's largest source of operating revenue. Over the past decade, the university has spent $14.3 billion from its endowment, supporting every aspect of Yale's mission by accelerating research and innovation, allowing for a global need-blind admissions policy, and propelling the next generation of leaders who are determined to change the world for the better. The endowment's strength also enables Yale to support New Haven with the largest voluntary financial contribution of any American university to its home city. The endowment is the university's single largest source of revenue, providing more than one-third of Yale's annual operating budget. Endowment investment returns allocated to operating activities increased by 11% in 2024 to $1.9 billion. At June 30, 2024, net assets in the endowment totaled approximately $41.4 billion. The majority of endowment spending is allocated across multiple purposes, including financial aid and professorships, based on donor restrictions or internal designations by the university. Endowment spending that is neither restricted nor designated provides additional support for priorities that carry out the university's mission. The endowment is structured to support the university in perpetuity. Yale pursues an investment strategy designed to achieve its goals through the careful consideration of risk and return across asset classes, including public equities, marketable alternatives, leveraged buyouts, venture capital, and real assets, and through the astute selection of external investment managers within those asset classes. The endowment spending policy, which allocates endowment earnings to operations, balances the competing objectives of providing a stable flow of income to the operating budget and protecting the real value of the endowment over time. The spending policy manages the trade-off between these two objectives by using a long-term target spending rate combined with a smoothing rule, which adjusts spending in any given year gradually in response to changes in endowment market value. The target spending rate approved by the Yale Corporation currently stands at 5.25% of the endowment's value.
