Form 990, Part VI, Line 1B NUMBER OF VOTING MEMBERS WHO ARE INDEPENDENT

There are two ex-officio trustees, the governor of connecticut and the lieutenant governor of connecticut. Historically, these individuals do not participate in governance activities at the university and they are reported as independent.

Form 990, Part VI, Line 5 Diversion of organization assets

The university has a system of internal controls designed to prevent and identify the diversion of its assets. During the fiscal year ended june 30, 2022, the university became aware of an inappropriate diversion of university funds. The fraud involved a university department administrator who falsely authorized the purchase of electronic devices, primarily tablet computers, with yale university funds and subsequently sold them to third parties for personal gain. The university's direct loss related to this fraud was $40,504,200. Once the fraud was discovered, yale notified appropriate law enforcement authorities and cooperated fully with their investigation. Yale also conducted a thorough internal investigation of the fraud and concluded that no other university employees and no officers, key employees, trustees, or other disqualified persons were complicit in the diversion of these funds. The employee admitted to the fraud. Yale promptly terminated the administrator's employment and the administrator subsequently was convicted and sentenced to prison. During the fiscal year, the university identified three unrelated instances of diversion of its assets by external parties (in total < $105,000). Internal investigations were conducted and concluded that no university employees (including officers and key employees), trustees, or other disqualified persons were complicit in the diversion of these funds. Yale referred the fraudulent cases to the appropriate law enforcement authorities. Yale has acted to prevent future diversions by further strengthening its financial processes and internal controls. Specifically, yale has expanded efforts to promote a strong internal control culture, clarify roles and responsibilities, develop a risk-based quality assurance function, provide a robust compliance training program focused on ethics, internal controls, and fraud awareness, and strengthen feedback loops that lead to continuous improvement and accountability. These university-wide initiatives will contribute to advancing a strong culture of financial integrity, accountability, insight and stewardship of yale resources.

The yale university conflict of interest policy obligates each officer, trustee, and key employee to promptly disclose any actual or potential conflict of interest as defined in the policy. Each such person must sign a statement annually affirming that he or she has received a copy of the conflict of interest policy, has read and understands the policy, agrees to comply with the policy, and understands that the corporation is charitable and in order to maintain its exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. In connection with any actual or possible conflict of interest, an interested person must disclose the existence of his or her financial interest and be given the opportunity to disclose all material facts to the director and members of the committee with governing board delegated powers considering the proposed transaction or arrangement. After disclosure of a potential conflict of interest, the interested person is excused from the governing board or committee meeting while the determination of a conflict of interest is made, and is recused from participating in any vote on the matter.

Yale University collections are an integral part of teaching and learning across the university and include the Yale University Art Gallery, the Yale Center for British Art, the Peabody Museum of Natural History, and the Morris Steinert Collection of Musical Instruments. All the collections are open to the public. People of all ages are invited to visit the collections, join an exhibition tour, take classes with artists and curators, and enjoy many other public programs offered throughout the year. The Yale University Art Gallery: The Yale University Art Gallery, founded in 1832, is the oldest university art museum in America. The museum collects, preserves, studies, and presents art in all media, from all regions of the globe and across time. The museum's exceptional collection - numbering nearly 300,000 objects - is the core of its identity. The collection includes Ancient art, Asian art, African art, Indo-Pacific art, American paintings and sculpture, American Decorative Arts, prints and drawings, photographs, numismatics, works of European and American masters from virtually every period, and a rich collection of modern and contemporary art. The Art Gallery's vision is activating the power of art to inspire and to create a more inclusive world. Today, it is a center for teaching, learning, and scholarship and is a preeminent cultural asset for Yale University, the wider academic community and the public. The museum is open to all, free of charge, and is committed to engaging audiences through thoughtful, creative, and relevant exhibitions, programs, and publications. The Yale Center for British Art: The Yale Center for British Art is a public art museum and research institute for the study of British art and culture. The Yale Center for British Art, which opened in 1977, houses the largest and most comprehensive collection of British art outside the United Kingdom. The collection of paintings, sculpture, photographs, prints, drawings, rare books, and manuscripts present the story of British art and culture, and its global contexts, from the fifteenth century to today. The Center offers a year-round schedule of exhibitions and programs, including talks and lectures, conferences, films, concerts, and performances. The Yale Center for British Art oversees an active research program through which it promotes and fosters the scholarship of all aspects of British art and material culture. Academic resources of the center include the Reference Library and Photograph Archives, conservation laboratories, a study room for examining works on paper as well as rare books and manuscripts from the collection, and an online catalogue of the collections. Over 100,000 records from the paintings and sculpture, prints and drawings, rare books and manuscripts, reference library, and institutional archives collections are searchable online, along with nearly all of the Center's historic frames. The Center is free and open to all. Peabody Museum: The Yale Peabody Museum of Natural History, founded in 1866, is one of the oldest and largest university-based natural history museums with worldwide acclaim for its dinosaur skeletons, mammal displays, and natural history collections. The Peabody Museum houses more than 14 million specimens and artifacts representing more than 4 billion years of geological, biological, and human history. The Yale Peabody Museum's collections, a major component of research and teaching at the Museum and across Yale, are used in undergraduate and graduate courses and research, as well as in public programs and exhibitions. The curators and staff contribute new knowledge and make it available to the public and to specialized audiences. Schedule D, Part V, Line 4 Intended uses of endowment funds

Spending from the endowment is the largest source of revenue for Yale and supports a global need-blind admissions policy, the recent expansion of the student body, an ongoing faculty excellence and diversity initiative, the university's ambitious sustainability efforts, heavy investment in science and engineering, and many other critical expressions of Yale's mission. Over the past decade, the university has spent $12.7 billion from the endowment. In the decade before that, total spending amounted to $7.9 billion. Over the past 10 years and 20 years, endowment distributions to the operating budget have increased at annualized rates of 4.7% and 6.9%, respectively. In FY22, spending from the endowment increased by 3.7% over the prior year to $1,568 million. Totaling $41.4 billion on June 30, 2022, the Endowment contains thousands of funds with a variety of purposes and restrictions. Approximately three-quarters constitute true endowment - gifts restricted by donors to provide long-term funding for designated purposes. The remaining one-quarter represents quasi-endowment, monies that the Yale Corporation chooses to invest and treat as endowment. The endowment is structured to support the university in perpetuity. Yale pursues an investment strategy designed to achieve its goals through the careful consideration of risk and return across asset classes, including public equities, marketable alternatives, leveraged buyouts, venture capital, and real assets, and through the astute selection of external investment managers within those asset classes. The Endowment spending policy, which allocates Endowment earnings to operations, balances the competing objectives of (1) supporting today's scholars with annual spending distributions and (2) maintaining that support for generations to come. The spending policy manages the trade-off between these two objectives by using a long-term spending rate target combined with a smoothing rule, which adjusts spending in any given year gradually in response to changes in Endowment market value.

A faculty of more than 5,100 teach and administer programs across a range of disciplines in the sciences and engineering, the social sciences, the humanities, and the various learned professions. More than 80 majors are available in the undergraduate college and more than 35 different degree programs are offered by the university.
