There are two ex-officio trustees, the governor of connecticut and the lieutenant governor of connecticut. Historically, these individuals do not participate in governance activities at the university and they are reported as independent.

Form 990, Part VI, Line 5 Diversion of organization assets

The University has a system of internal controls designed to prevent and identify the diversion of its assets. During the fiscal year ended June 30, 2021, the University became aware of an inappropriate diversion of University funds. The fraud involved external parties who obtained unauthorized access to a University employee's network credentials and submitted false vendor payment information. Once the fraud was discovered, Yale acted to terminate the fraudulent payments, which totaled $4,644,098, and recover $1,107,259 of the diverted funds. The University's direct loss was $3,536,839. Of this amount, the University received a $100,000 insurance payment. Yale immediately began investigating the fraud and concluded that no University employees (including officers and key employees), trustees, or other disqualified persons were complicit in the diversion of these funds. Yale referred the fraudulent case to the appropriate law enforcement authorities. During the fiscal year, the University identified three unrelated instances of diversion of its assets by employees (in total < $35,000). Internal investigations were conducted which resulted in discipline or termination of these employees. None of these employees were officers, key employees, trustees, or other disqualified persons. Yale acted to prevent any such future diversions by strengthening its internal controls. The University provided fraud awareness training and adopted enhanced payment, monitoring, and controls procedures, and expanded system access controls.

The yale university conflict of interest policy obligates each officer, trustee, and key employee to promptly disclose any actual or potential conflict of interest as defined in the policy. Each such person must sign a statement annually affirming that he or she has received a copy of the conflict of interest policy, has read and understands the policy, agrees to comply with the policy, and understands that the corporation is charitable and in order to maintain its exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. In connection with any actual or possible conflict of interest, an interested person must disclose the existence of his or her financial interest and be given the opportunity to disclose all material facts to the director and members of the committee with governing board delegated powers considering the proposed transaction or arrangement. After disclosure of a potential conflict of interest, the interested person is excused from the governing board or committee meeting while the determination of a conflict of interest is made, and is recused from participating in any vote on the matter.

Since the beginning of the COVID-19 pandemic, Yale has ensured the continuity of its educational and research mission while focusing on the health and well-being of students, faculty, staff, and community members. Notably, net tuition, room and board declined, largely caused by deferrals and leaves of absence by some undergraduates due to the COVID-19 pandemic. The university expects the large majority of these students to matriculate in the subsequent academic years. Schedule F, Part I, Line 2 PROCEDURES FOR MONITORING USE OF GRANT FUNDS

With respect to sponsored project activity subcontracted to other entities, the university's policy and procedures for monitoring sub recipient awards ("subawards") are intended to establish appropriate and effective mechanisms to promote compliance with federal and non-federal requirements and contractual arrangements, including the proper monitoring and stewardship of awarded funds. Proper monitoring of a subaward ensures that awarded funds are used for authorized purposes, performance goals are met and the sub recipient is in compliance with the terms and conditions of the sub recipient agreement. Sub recipient monitoring procedures include but are not limited to the following activities: a formal pre-qualification process for sub recipients, pre-award and post-award monitoring of sub recipients to review the financial status and management controls, compliance certifications, review of compliance with regulations relative to the use of human subjects and animals, identification and reporting of any conflict of interest with a sub recipient entity, and a review of pertinent other organization information. In accordance with these procedures, the university reviews the sub recipient's administration, financial statements, billings, scientific progress, technical reports, and deliverables of an active subaward regularly and conducts on-going risk assessments as well as monthly quality assurance reviews on randomly selected subawards. In addition to a monthly departmental review, the university monitors a sub recipient's compliance with the terms and conditions of the subaward annually and upon closeout of the sub recipient agreement. If any of these monitoring procedures result in findings, the university will take corrective action as necessary. The procedures serve to ensure that the subaward funds are used for proper purposes and not diverted from their intended use.

Yale University collections are an integral part of teaching and learning across the university and include the Yale University Art Gallery, the Yale Center for British Art, the Peabody Museum of Natural History, and the Morris Steinert Collection of Musical Instruments. All the collections are open to the public. Due to ongoing COVID-19 restrictions and for the health and safety of visitors and staff, many of the organization's museums and galleries were temporarily closed to the public. Many locations enhanced its offerings of online resources, including digital collections, virtual tours, and online exhibits. The Yale University Art Gallery: The Yale University Art Gallery, founded in 1832, is the oldest university art museum in America. The museum collects, preserves, studies, and presents art in all media, from all regions of the globe and across time. The museum's exceptional collection - numbering nearly 300,000 objects - is the core of its identity. The collection includes Ancient art, Asian art, African art, Indo-Pacific art, American paintings and sculpture, American Decorative Arts, prints and drawings, photographs, numismatics, works of European and American masters from virtually every period, and a rich collection of modern and contemporary art. The Art Gallery's vision is activating the power of art to inspire and to create a more inclusive world. Today, it is a center for teaching, learning, and scholarship and is a preeminent cultural asset for Yale University, the wider academic community and the public. The museum is open to all, free of charge, and is committed to engaging audiences through thoughtful, creative, and relevant exhibitions, programs, and publications. The Yale Center for British Art: The Yale Center for British Art is a public art museum and research institute for the study of British art and culture. The Yale Center for British Art, which opened in 1977, houses the largest and most comprehensive collection of British art outside the United Kingdom. The collection of paintings, sculpture, photographs, prints, drawings, rare books, and manuscripts present the story of British art and culture, and its global contexts, from the fifteenth century to today. The Center offers a year-round schedule of exhibitions and programs, including talks and lectures, conferences, films, concerts, and performances. The Yale Center for British Art oversees an active research program through which it promotes and fosters the scholarship of all aspects of British art and material culture. Academic resources of the center include the Reference Library and Photograph Archives, conservation laboratories, a study room for examining works on paper as well as rare books and manuscripts from the collection, and an online catalogue of the collections. Over 100,000 records from the paintings and sculpture, prints and drawings, rare books and manuscripts, reference library, and institutional archives collections are searchable online, along with nearly all of the Center's historic frames. The Center is free and open to all. Peabody Museum: The Yale Peabody Museum of Natural History, founded in 1866, is one of the oldest and largest university-based natural history museums with worldwide acclaim for its dinosaur skeletons, mammal displays, and natural history collections. The Peabody Museum houses more than 14 million specimens and artifacts representing more than 4 billion years of geological, biological, and human history. The Yale Peabody Museum's collections, a major component of research and teaching at the Museum and across Yale, are used in undergraduate and graduate courses and research, as well as in public programs and exhibitions. The curators and staff contribute new knowledge and make it available to the public and to specialized audiences. Schedule D, Part V, Line 4 Intended uses of endowment funds

Spending from the endowment in FY21 represents 33% of total operating revenue and is the largest source of revenue for Yale. This important source of revenue supports faculty salaries, student scholarships, and other expenses. Endowment distributions to the operating budget have increased at annualized rates of 4.7% and 6.9% over the past 10 years and 20 years, respectively, which is well in excess of inflation. In 2021, endowment investment returns allocated to operating activities increased by 5% to $1.5 billion. The Endowment spending policy, which allocates Endowment earnings to operations, balances the competing objectives of (1) supporting today's scholars with annual spending distributions and (2) maintaining that support for generations to come. The spending policy manages the trade-off between these two objectives by using a long-term spending rate target combined with a smoothing rule, which adjusts spending in any given year gradually in response to changes in Endowment market value. The endowment contains thousands of funds established for specific, legally restricted purposes; only 24% of spending from the endowment is unrestricted and available for general purposes. An additional 25% is specified to support teaching and research, with 19% directed towards facilities and operations and 18% towards financial aid. The remaining endowment funds are designated to support various departments or programs. The endowment provides the largest source of support for the academic programs of the university. The majority of endowment spending is allocated across multiple purposes, including financial aid and professorships, based on donor restrictions or internal designations by the university. Endowment distributions support, among other priorities, the university's commitment to offering international need-blind admissions and covering the full financial need of all undergraduate students: Yale is one of a small handful of colleges and universities in the United States that meet that standard.

More than 80 majors are available in the undergraduate college and more than 35 different degree programs are offered by the university.
