“The director of operations does an initial review of the draft form 990 to ensure accuracy. If revisions are required, the form 990 is returned to the engaged accounting firm for corrections. A final draft of the form 990 is distributed to the board of directors for review. Board members approve or reject the form 990 either by email or vote at the annual meeting. A majority approval vote of the members of the board of directors shall constitute a quorum file of the form 990 with the irs.”
“Npic requires officers, directors, and key employees to disclose annually any conflict of interest that could give rise to conflicts. Officers, directors, and key employees are required to complete a conflict of interest questionnaire which includes a signed written statement affirming their understanding and compliance of the required disclosure of known or potential conflicts of interest. The executive committee of the board of directors will review these forms and decide the outcome of any declared conflicts. This committee will report their findings to the board of directors who will document the outcome in their minutes to their meetings.”

Early on, npic became nationally recognized for its unique expertise in the organization of perinatal care and contributions to the regionalization of perinatal care. This early work served as the foundation by which npic would broaden its reach and impact over the next three decades. Through its membership, npic provides benchmarking and data analysis for over 650,000 maternal and newborn discharges per year, representing approximately 10% of the nation's birth volume and making it one of the largest perinatal and neonatal databases in the country. For over 20 years, npic has been leading efforts in linked mother/baby data, which provides a unique and valuable lens into newborn outcomes based on maternal health and comorbidities. This guidance prescribes a two step process for the measurement of uncertain tax positions that have been taken or are expected to be taken on a tax return. The first step is a determination of whether the tax position should be recognized in the financial statements. The second step determines the measurement of the tax position. Such positions for a nonprofit organization would include the nonprofit organization's status as an exempt entity, whether the organization's activities are related to its tax exempt purpose and if applicable, how the organization allocates revenue and expenses between its exempt purpose and unrelated business activities. Asc 740 also provides guidance on derecognition of such tax positions, classification, potential interest and penalties, and disclosure. No uncertain tax positions within the scope of asc 740 exist as of the year ended december 31, 2022.”
