Form 990, Part VI, Section A, Line 6

The organization has a single class of members with the right to elect the governing body. Any person, firm, organization, or assoication with an interest in the purposes of the organization and a desire to join may become a member.

Form 990, Part VI, Section A, Line 7A

All active members in good standing have the right to elect the board of directors.

Form 990, Part VI, Section A, Line 7B

The decision to remove a director of the board or to amend the bylaws of the organization is reserved to the members of the organization (provided, that the board may also amend the bylaws by 2/3 vote).

Form 990, Part VI, Section B, Line 11B

The organization has its form 990 prepared by an outside accounting firm. It is then provided to all members of the finance committee for their review. All members of the board of directors receive a complete copy of the 990 prior to filing.

Form 990, Part VI, Section B, Line 12C

The organization has a conflict of interest policy which covers directors, officers, committee members and staff of the organization requiring them to disclose any possible conflicts to the board of directors. This is done on an annual basis and as any potential conflicts arise. After disclosing the existence of the actual or potential conflict, the individual shall disclose all material facts to the president and executive director, if applicable, and may be given the opportunity to make a presentation to the governing body. After a determination that a conflict of interest exists and constitutes a disqualifying interest, the individual shall not participate in any discussion of, or action on, the transaction or issue that is the subject of the conflict. The minutes of the governing body shall contain the names of the persons who disclosed or otherwise were found to have an actual or potential conflict of interest, the nature of the interest, any action taken to determine whether a conflict of interest was present, and the governing body's decision.

Form 990, Part VI, Section B, Line 15A

The process for determining compensation for the organization's executive director includes the use of a compensation survey and approval by the compensation committee. The process last occurred in 2020 and was documented in the minutes of the organization.

Form 990, Part VI, Section C, Line 19

The organization makes its financial statements, governing documents, and conflict of interest policy available upon written request or by calling the organization directly.

IRS990/ProgSrvcAccomActy2Grp/Desc0SAVE THE BAY'S POLICY, ADVOCACY AND RESTORATION PROGRAMS HAVE BEEN A CORE FUNCTION OF THE ORGANIZATION SINCE ITS INCEPTION IN 1970. WE CHAMPION PUBLIC POLICIES THAT PROTECT AND IMPROVE NARRAGANSETT BAY, ITS TRIBUTARIES AND THE COAST. SAVE THE BAY WORKS AT THE LOCAL, STATE AND FEDERAL LEVEL ON INITIATIVES THAT PROTECT WATER QUALITY, RESTORE BAY HABITATS, AND DEFEND THE PUBLIC'S RIGHT TO USE AND ENJOY OUR COASTAL WATERS. OUR ADVOCACY IS BASED ON THE BEST AVAILABLE SCIENCE, WHICH IS ESSENTIAL IN AN ERA WHEN CLIMATE CHANGE IS FUNDAMENTALLY CHANGING THE BAY'S ECOLOGY AND POSING NEW CHALLENGES TO OUR COASTAL COMMUNITIES. WE ARE A COLLABORATIVE PARTNER AND LEADER WHOSE ROLE IS MULTI-FACETED: EDUCATOR, WATCHDOG, ADVOCATE, AND SCIENTIST. ON A BROAD LEVEL, SAVE THE BAY FOSTERS AN ETHIC OF STEWARDSHIP FOR THE NARRAGANSETT BAY REGION BY ENHANCING UNDERSTANDING OF THE IMPACTS OF HUMAN ACTIVITY ON THE BAY AND SURROUNDING WATERS, AND ENGAGING THE PUBLIC IN DIRECT ACTIONS THAT PROTECT THE BAY.

IRS990/ProgSrvcAccomActy3Grp/Desc0SAVE THE BAY'S OUTREACH INITIATIVES BRING TOGETHER AND INFORM INDIVIDUALS, ORGANIZATIONS, AND GOVERNMENTS TO FOSTER AN ETHIC OF ENVIRONMENTAL STEWARDSHIP AMONG PEOPLE WHO LIVE IN OR VISIT THE NARRAGANSETT BAY REGION. OUR OUTREACH INITIATIVES INCLUDE: COMMUNITY EVENTS, PUBLICATIONS AND CONSTITUENT COMMUNICATIONS DESIGNED TO INFORM AND EDUCATE STAKEHOLDERS ABOUT THE GOALS, POLICIES, PROGRAMS AND ADVOCACY EFFORTS OF SAVE THE BAY.

IRS990/ProgSrvcAccomActyOtherGrp/Desc0THE INTERNATIONAL COASTAL CLEANUP HAS BECOME A BEACON OF HOPE, LEADING AND INSPIRING ACTION IN SUPPORT OF OUR OCEAN. SAVE THE BAY IS PROUD TO COORDINATE RHODE ISLAND'S PART IN THE INTERNATIONAL COASTAL CLEANUP. OUR OCEAN STATE VOLUNTEERS JOIN WITH OTHERS AROUND THE WORLD TO SAY THAT THE SOLUTION TO TRASH AND PLASTICS IN OUR WATERS BEGINS WITH US. THIS YEAR, THE COVID-19 PANDEMIC PRESENTED MAJOR CHALLENGES TO CLEANUP EFFORTS. BUT WITH ADAPTED SAFETY PROCEDURES, SMALL GROUPS, AND INDIVIDUAL CLEANUPS USING THE CLEAN SWELL APP, VOLUNTEERS CAME TOGETHER TO #CLEANON IN 2020!
