“The form 990 is reviewed and approved by the finance/audit committee of the board of trustees before filing. A copy of the 990 is also provided to all members of the board of trustees prior to filing.”

“Each trustee and staff member must sign a conflict of interest acknowledgement upon commencement of association or employment. Trustees: any trustee who may be involved in a meeting street business transaction in which there is a possible conflict of interest shall promptly notify the chair of the board of trustees. The trustee will refrain from voting on such matter and the trustee, or the chair in the trustee's absence, will disclose the potential conflict of interest to the other board members before the vote takes place and such disclosures shall be recorded in the board minutes. Any transaction involving a potential conflict of interest shall have terms that are fair and reasonable as though meeting street were dealing with an unrelated party. Staff: all staff members are to disclose any conflicts of interest to the director of human resources. All reports of potential conflicts will be forwarded to the president. The president shall take such action as is necessary to ensure the transaction is completed in the best interest of meeting street.”

“The compensation committee of the board of trustees hired an independent human resource consulting firm to conduct an assessment of compensation. The firm not only performed a comprehensive comparability study, but also employed a series of compensation review practices that are included in the excess benefit transaction rules of section 4958 of the internal revenue code. Compensation reviews were not only done for the president, but were also done for key management position. The president's compensation is reviewed and approved by the compensation committee of the board of trustees. Compensation data received for key managers was shared with the compensation committee of the board of trustees. The president is responsible for determining compensation for top management positions and will consult with the compensation committee regarding additional material compensation arrangements.”

“The organization is a member of a limited liability company that operates a cedarr center for the purpose of assisting in the establishment and implementation of a system of care for children with special needs and their families. Activities of the limited liability company further the exempt purpose of the organization. There are controls in place through the limited liability company's operating agreement to ensure that its activities do not endanger the exempt status of the organization. On december 5, 2016, meeting street entered into an interest redemption agreement and closed on the sale of its interest in the investee entity.”
