Governance Explanations

Form 990, Part VI, Section A, Line 6

The organization does not have separate classes of members although the bylaws allow for this. Members only have the right to vote for nominated individuals to serve on the board of directors. Members do not have any other rights assigned to them regarding participation in the organization's governance.

Members have the right to vote for nominated individuals to serve on the organization's board of directors. Voting takes place at the organization's annual meeting held in march following the organization's fiscal year end (9/30).

Form 990, Part VI, Section A, Line 7B

The by-laws of the organization may be amended at any meeting of the association. The by-laws require that notice of the proposed amendment must be given to the membership. The by-laws require that a quroum of the membership be present at the meeting. In order for the amendment to be approved, two-thirds of those present must vote in favor of the amendment.

Form 990, Part VI, Section B, Line 11

The governing body has designated its president and its finance committee, along with the executive director and the finance manager, with the responsibility to review and approve the filing of the annual form 990. The form 990 is reviewed and compared with its annual audited financial statements. Any questions, comments, changes and suggestions are addressed to the return preparer and upon receiving satisfactory responses, a properly completed form 8879-eo is returned to the return preparer indicating the organization's approval to file the return.

The organization reviews and discusses its conflicts policy each fall with board members and staff. General counsel for the organization monitors for potential conflicts in order to avoid actual conflicts.

The compensation of the executive director is reviewed periodically against the compensation of top management officials of other organizations similar in nature and size. This review is undertaken by the orgainzation's president and executive committee of the board of directors. Their recomendations are presented to the board for review and ratification. Key employees salaries are determined by the executive director who conducts an examination of compensation in like organizations, in consultation with the executive committee and as ratified by the board of directors through the annual budget process.

Financial Statement Notes

PART IV, LINE 2B:

Crwa acts solely as the disbursing agent for funds received from an unrelated organization, the clean charles coalition fund. This unrelated organization has specified the purpose for which the funds are to be used and has identified two other unrelated charitable organizations to which the funds are to be disbursed. Crwa is only permitted to disburse the funds at the instruction of the unrelated organization that transferred the funds. During the fiscal year, crwa received instructions regarding the disbusement of the balance of funds as of october 1, 2013. The funds were disbursed on september 4, 2014. As of september 30, 2014, crwa does not hold any funds over which it acts as the disbursing agent.

THIS YEAR, WE COMPLETED THE POROUS ALLEY PROJECT, RETROFITTING A BOSTON ALLEY WITH PERMEABLE PAVEMENT TO CAPTURE, CLEAN AND FILTER STORM WATER BACK INTO THE GROUND. WE ALSO COMPLETED CONSTRUCTION OF RAIN GARDENS IN PARTNERSHIP WITH THE CITY OF CHELSEA, MASSACHUSETTS AND CONDUCTED RAIN GARDEN CONSTRUCTION TRAINING FOR RESIDENTS IN THE TOWN OF FRANKLIN, MASSACHUSETTS. THESE PROJECTS ARE MODELS FOR BETTER SITE DESIGN, SERVE TO EDUCATE THE PUBLIC ON THE IMPORTANCE OF STORM WATER MANAGEMENT AND PROVIDE DEVELOPERS WITH LOW IMPACT STORM-WATER RETROFIT INFORMATION.

IMPROVING POLICIES AND REGULATIONS FOR THE PROTECTION AND SUSTAINABILITY OF THE NATURAL WATER ENVIRONMENT ARE CORE COMPONENTS OF CRWA'S WORK.SUSTAINABLE WATER MANAGEMENT INITIATIVECRWA'S CAMPAIGN FOR SUSTAINABLE WATER RESOURCES, WHICH BEGAN WITH A SERIES OF TEST CASES IN THE IPSWICH RIVER WATERSHED, LED TO THE CREATION OF THE MASSACHUSETTS' SUSTAINABLE WATER MANAGEMENT INITIATIVE (SWMI) AND RESULTED IN THE ADOPTION OF NEW WATER WITHDRAWAL PERMITTING REGULATIONS THAT INCORPORATE BIOLOGICALLY-BASED STREAMFLOW CRITERIA AND REQUIRES THAT WITHDRAWAL IMPACTS BE MINIMIZED AND MITIGATED. BY REQUIRING MITIGATION, OR OFFSETS, THE PERMITTING PROGRAM BRINGS A MORE HOLISTIC APPROACH TO WATER, WASTEWATER AND STORM-WATER. IN 2014, CRWA BEGAN REPRESENTING ENVIRONMENTAL GROUPS IN THE BLACKSTONE RIVER WATERSHED, ADMINISTRATIVELY CHALLENGING THE TOWN OF SHREWSBURY, MASSACHUSETTS WITHDRAWAL PERMIT.STORMWATER MANAGEMENTIN 2014, WE REVIEWED AND TESTIFIED AT THE U.S. ENVIRONMENTAL PROTECTION AGENCY ("U.S. EPA") HEARINGS ON THE DRAFT SMALL MUNICIPAL SEPARATE STORM SEWER SYSTEM (MS4) NATIONAL POLLUTANT DISCHARGE ELIMINATION SYSTEM ("NPDES") GENERAL PERMIT FOR MASSACHUSETTS. THE DRAFT PERMIT BUILDS ON THE 2003 GENERAL PERMIT AND REQUIRES EACH MUNICIPALITY IN THE WATERSHED TO DEVELOP A PHOSPHORUS CONTROL PLAN. WE ALSO EDUCATED CONSERVATION COMMISSIONS ABOUT THEIR AUTHORITY UNDER THE WETLANDS PROTECTION ACT TO REQUIRE PROJECT APPLICANTS TO MEET DAILY NUTRIENT LOADING LIMITS ESTABLISHED FOR THE WATERSHED.AMERICAN SHAD RESTORATIONA SETTLEMENT WITH GENON ENERGY, LLC ("GENON") OF ITS SURFACE WATER DISCHARGE PERMIT IN THE CHARLES BY THE U.S. EPA, CRWA AND CONSERVATION LAW FOUNDATION, RESULTED IN A PLANNED 95% REDUCTION IN THE FACILITY'S THERMAL DISCHARGE TO THE CHARLES LOWER BASIN. IN 2014, WITH THE COMPLETION OF THE 7,000 FOOT STEAM PIPELINE BETWEEN THE PLANT AND THE CITY OF BOSTON, THIS DISCHARGE HAS BEEN ELIMINATED. THE SETTLEMENT ALSO ESTABLISHED A FUND MANAGED BY CRWA FOR THE RESTORATION OF AMERICAN SHAD AND OTHER MIGRATORY FISH. SINCE 2006, THE U.S. FISH AND WILDLIFE SERVICE, MASSACHUSETTS DIVISION OF MARINE FISHERIES ("DMF") AND CRWA HAVE PARTNERED TO RELEASE 20 MILLION HATCHERY-REARED SHAD FRY INTO THE RIVER'S LAKES DISTRICT. WITH THE GENON FUNDS, DMF HAS BEEN CONDUCTING MONITORING IN THE VICINITY OF THE WATERTOWN DAM, OF SHAD RETURNING TO SPAWN. WE ARE EXPLORING OPTIONS FOR IMPROVING AND PROTECTING HABITAT BELOW THE DAM, MAPPING HABITAT IN THE LAKES DISTRICT AND ASSESSING WATER QUALITY.MEDFIELD STATE HOSPITALCRWA'S CHALLENGE OF A WETLAND'S ORDER FOR THE REMEDIATION OF THE FORMER MEDFIELD STATE HOSPITAL ULTIMATELY LED TO THE TOWN OF MEDFIELD, MASSACHUSETTS AND THE COMMONWEALTH OF MASSACHUSETTS DIVISION OF CAPITAL ASSET MANAGEMENT AND MAINTENANCE NEGOTIATING A BETTER SITE CLEANUP AND RIVER RESTORATION PROJECT. THE RESTORATION WORK, BEGUN IN 2014, DREDGED PETROLEUM CONTAMINATED RIVER SEDIMENTS AND IS CREATING FOUR MILLION GALLONS OF NEW FLOOD STORAGE WITH RIVERBANK RESTORATION AND NEW RECREATIONAL OPPORTUNITIES.DALY FIELDWE CONTINUE TO FIGHT AGAINST THE PRIVATIZATION OF PUBLIC TRUST PARKLAND AND FOR ANALYSES, TRANSPARENCY, PUBLIC DIALOG AND A FULL STATE ENVIRONMENTAL REVIEW BEFORE SUCH LEGISLATION IS FILED.
