Governance Explanations

FORM 990, PART VI, SECTION A, LINE 4:

The regular members of the boston athletic association voted on october 18, 2016 to amend the bylaws of the organization with the following changes: 1. The term of service of any member of the board of governors elected after october 18, 2017 is limited to a total of four consecutive terms, provided that a member of the board of governors whose term limit has expired may again seek election to the board of governors after a full three year term of service has passed. 2. The president of the association now serves as the chairperson of the board of governors and represents the association on appropriate occasions. A separate office of chief executive officer was established, and the person holding that office is appointed by the board of governors. 3. A person elected as president following the conclusion of the service of the president serving as of october 18, 2017 shall be limited to serving a term as president of not more than five years. 4. A chief executive officer appointed after the incumbent appointed on october 18, 2017 is not eligible to serve as a governor while holding the office of chief executive officer. Form 990, part vi, section a, lines 6 & 7 the boston athletic association has one class of voting members consisting of 156 members. The members are elected by the board of governors and have the authority to amend and revoke the bylaws. The members' primary duty is to annually elect the boston athletic association's board of governors.

FORM 990, PART VI, SECTION A, LINE 11B:

The form is prepared by the boston athletic association's outside tax advisors. A complete draft of the form 990 is reviewed by the chief executive officer, the director of finance, the finance committee (made up of the treasurer (a member of the board of governors), the director of finance and two additional members of the board of governors) and attended ex officio by the president of the board. The form 990 is then distributed to the full board of governors for its review, discussion and approval.

FORM 990, PART VI, SECTION B, LINES 12A, B, & C:

The conflict of interest policy that the board of governors follows is: in cases of a conflict or the appearance of a conflict by a member of the organization's board of governors, the board member will disclose such conflict to the president or other board member prior to taking any action that might be influenced or appear to be influenced by it. Once that disclosure has been made known, the remaining members of the board will determine whether a conflict exists or whether there is a potential for such conflict. The board shall not enter into contracts with (1) governors, (2) directors of related organizations or (3) organizations with which a governor has a material financial interest unless (a) that interest is disclosed or known to the board (b) the board approves, authorizes or ratifies the action in good faith, and (c) the approval is by a majority of the directors (not counting the interested governor) at a meeting at which a quorum of the board is present (not counting the interested governor). In such cases the interested governor may be present at the related meeting to answer questions about the financial relationship but may not vote or advocate for the action to be taken. If a vote is taken, the interested governor leaves the room. The minutes shall clearly reflect that these requirements have been met.

FORM 990, PART VI, SECTION B, LINE 15:

The compensation of all officers is initially recommended by the boards compensation committee each year. The compensation committee uses published comparable data obtained through one or more firms that broadly report such information based on surveys that are in turn based on form 990 filings made by other comparable nonprofit enterprises. The compensation committee measures the success of the organization for the current year versus the objectives and goals for the year. Once the committee determines a recommended salary for all officers, it brings it to the full board for its consideration and action.

FORM 990, PART VI, SECTION C, LINE 19:

Audited financial statements and articles of incorporation are made available to the general public through the commonwealth of massachusetts office of the attorney general and the office of the secretary of state of the commonwealth of massachusetts. The organization does not make its conflict of interest policy or bylaws available to the general public.

The promotion of the common good and health and welfare of the general public and the encouragement of the general public to improve its physical condition by the promotion and regulation of amateur sports competition, with particular emphasis on (1) the sponsorship of long distance running events (especially the annual baa marathon) and of track and field teams and meets and similar athletic exercises, (2) the provision of exercise and fitness programs for both children and adults through our community outreach programs and (3) the training of high performance track and field and long distance running athletes. THE BAA ALSO COLLABORATES WITH TWO OTHER ORGANIZATIONS TO OPERATE A COMMUNITY RUNNING CENTER IN BOSTON. OF THESE AREAS OF ACTIVITY, THE LARGEST BY MEASURE OF BOTH EXPENSE AND REVENUE IS THE CONDUCT OF THE BAA BOSTON MARATHON. IT IS AMONG THE LEADING ATHLETIC EVENTS IN THE WORLD. THOSE WHO COMPETE RANGE FROM THE FINEST LONG DISTANCE RUNNERS IN THE WORLD - WHO COMPETE FOR SUBSTANTIAL PRIZE MONEY - TO CITIZEN ATHLETES FOR WHOM COMPETING IN THE BOSTON MARATHON REPRESENTS AN IMPORTANT PERSONAL AMBITION. THE BAA HAS MANAGED AND OPERATED THE BOSTON MARATHON CONTINUOUSLY SINCE 1897. THE BAA, THROUGH THE BOSTON MARATHON, AND IN SUPPORT OF THE ORGANIZATION'S OVERALL MISSION OF PROMOTING HEALTH AND FITNESS AND AN OVERALL HEALTHY LIFESTYLE, ENDEAVORS TO PROVIDE PUBLIC SERVICE IN THE FOLLOWING WAYS: - ENCOURAGING THE PUBLIC TO TRAIN FOR, QUALIFY FOR, AND RUN IN THE BOSTON MARATHON. - THE FACT THAT THE BOSTON MARATHON IS THE ONLY ANNUALLY CONTESTED MARATHON FOR WHICH MOST PARTICIPANTS QUALIFY BY MEETING RIGOROUS QUALIFICATION STANDARDS ENCOURAGES ATHLETES TO ASPIRE TO A HIGH LEVEL OF FITNESS, AND IN THE PROCESS, DISPLAY THE BENEFITS OF SO DOING TO THEMSELVES AND OTHERS. QUALIFICATION FOR THE BOSTON MARATHON REPRESENTS AN ASPIRATION FOR MANY ATHLETES, AND ACHIEVING THAT QUALIFICATION IS A SOURCE OF CONSIDERABLE GRATIFICATION AND SATISFACTION, ALL IN FURTHERANCE OF THEIR PURSUIT OF A HEALTHY LIFESTYLE. - IN CONNECTION WITH THE BOSTON MARATHON, THE BAA ASSISTS MARATHON RUNNERS TO FUNDRAISE FOR A WIDE ARRAY OF CHARITABLE ORGANIZATIONS, MANY OF WHICH (A) PROMOTE HEALTH AND FITNESS, (B) CONDUCT RESEARCH AIMED AT TREATING AND ERADICATING DISEASE, OR (C) PROVIDE HEALTHCARE TREATMENT TO PERSONS AFFLICTED WITH SERIOUS DISEASES. IN 2017, THE PROGRAM SURPASSED THE $297 MILLION MARK IN TOTAL FUNDS RAISED SINCE ITS INCEPTION IN 1989. - THE BOSTON MARATHON AND ASSOCIATED EVENTS TAKING PLACE OVER BOSTON MARATHON WEEKEND EACH YEAR IN APRIL ENABLE THE GENERATION OF APPROXIMATELY $192.2 MILLION IN MARATHON-RELATED REVENUES FOR THE ECONOMY OF THE GREATER BOSTON AREA (AS DETERMINED BY THE GREATER BOSTON CONVENTION AND VISTORS BUREAU). - THE BOSTON MARATHON REPRESENTS A SOURCE OF CONSIDERABLE CIVIC PRIDE TO MANY RESIDENTS OF THE GREATER BOSTON AREA.
