Governance Explanations

FORM 990, PART VI, SECTION A, LINES 6 & 7A:

The boston athletic association has one class of members consisting of 139 members. The members' primary duty is to annually elect the boston athletic association's board of governors.

FORM 990, PART VI, SECTION A, LINE 11B:

The form is prepared by the boston athletic association's outside tax advisors. A complete draft of the form 990 is reviewed by the executive director, the finance committee (made up of the treasurer and three board of governors) and the president of the board. The form 990 is then distributed to the full board of governors.

FORM 990, PART VI, SECTION B, LINES 12A, B, & C:

The conflict of interest policy that the board of governors follows is: in cases of a conflict or the appearance of a conflict by a member of the organization's board of governors, they will disclose such conflict prior to taking any action that might be influenced or appear to be influenced by it. Once that disclosure has been made known, the remaining members of the board will determine whether a conflict exists or whether there is a potential for such conflict. The board shall not enter into contracts with (1) governors, (2) directors of related organizations or (3) organizations with which a governor has a material financial interest unless (a) that interest is disclosed or known to the board (b) the board approves, authorizes or ratifies the action in good faith (c) the approval is by a majority of the directors (not counting the interested governor) (d) a quorum of the board is present (not counting the interested governor). In such cases the interested governor may be present at the related meeting to answer questions about the financial relationship but may not vote or advocate for the action to be taken. If a vote is taken, the interested governor leaves the room. The minutes shall clearly reflect that these requirements have been met.

FORM 990, PART VI, SECTION B, LINE 15:

The compensation of all officers is determined by the compensation committee each year. The compensation committee uses published comparable data obtained through one or more firms that broadly report such information based on surveys. The compensation committee measures the success of the organization for the current year versus the objectives and goals for the year. Once the committee determines an appropriate salary for all officers, it brings it to the full board for its consideration and action.

FORM 990, PART VI, SECTION C, LINE 19:

Audited financial statements and articles of incorporation are made available to the general public through the commonwealth of massachusetts office of the attorney general and the office of the secretary of state of the commonwealth of massachusetts. The organization does not make its conflict of interest policy or bylaws available to the general public.

THE BAA, THROUGH THE BOSTON MARATHON: - PROMOTES HEALTH, FITNESS, AND AN OVERALL HEALTHY LIFESTYLE BY ENCOURAGING THE PUBLIC TO TRAIN FOR AND RUN IN THE BOSTON MARATHON AND SEEKING TO HELP IN THE DEVELOPMENT OF SKILLED U.S. DISTANCE RUNNERS WHO CAN ASPIRE TO COMPETE INTERNATIONALLY, BENEFITING THE CAUSE OF ATHLETICS AND FITNESS. - ASSISTS MARATHON RUNNERS TO FUNDRAISE FOR MANY CHARITABLE ORGANIZATIONS, MANY OF WHICH PROMOTE HEALTH AND FITNESS, CONDUCT RESEARCH AIMED AT TREATING AND ERADICATING DISEASE, AND WHICH PROVIDE HEALTHCARE TREATMENT TO PERSONS AFFLICTED WITH SERIOUS DISEASES. THE BOSTON MARATHON CHARITY PROGRAM IS ITS 27TH YEAR OF ENABLING SELECTED CHARITABLE ORGANIZATIONS TO RAISE MILLIONS OF DOLLARS FOR WORTHWHILE CAUSES. IN 2014, THE PROGRAM SURPASSED THE $208 MILLION MARK IN TOTAL FUNDS RAISED SINCE ITS INCEPTION IN 1989. - ASSISTS IN THE GENERATION OF APPROXIMATELY $175.8 MILLION IN MARATHON-RELATED REVENUES (AS DETERMINED BY THE GREATER BOSTON CONVENTION AND VISITORS BUREAU) FOR THE LOCAL ECONOMY, IN DIRECT CONNECTION WITH THE WEEKEND'S EVENTS SURROUNDING THE ANNUAL CONDUCT OF THE BOSTON MARATHON. - IN 2014, THE FIELD SIZE FOR THE BOSTON MARATHON WAS INCREASED ON A ONE-TIME BASIS FROM 27,000 RUNNERS TO 36,000 RUNNERS IN ORDER TO (A)PROVIDE AN OPPORTUNITY TO FINISH THE MARATHON TO PEOPLE PREVENTED FROM DOING SO BY THE 2013 BOSTON BOMBING AND (B)ACCOMMODATE MANY INDIVIDUALS WHO WERE PROFOUNDLY AFFECTED BY THE 2013 BOMBING. THIS RESULTED IN INCREASES BOTH IN EXPENSES AND REVENUE. - THE BOSTON ATHLETIC ASSOCIATION HOSTED BOSTON'S OFFICIAL TRIBUTE EVENT MARKING THE ONE YEAR ANNIVERSARY OF APRIL 15, 2013 AND HONORING THOSE MOST AFFECTED BY THE BOMBINGS WHICH OCCURRED ON BOYLSTON STREET NEAR THE BOSTON MARATHON FINISH LINE. THE EVENT WAS HOSTED JOINTLY BY THE COMMONWEALTH OF MASSACHUSETTS, THE CITY OF BOSTON AND WAS IN COORDINATION WITH THE ONE FUND BOSTON. THE EVENT INCLUDED A THOUGHTFUL AND RESPECTFUL PLAN TO ALLOW SURVIVORS, THE FAMILIES OF THE VICTIMS, AND MEMBERS OF MANY COMMUNITIES INVOLVED IN THE TRAGEDY AND THE AFTERMATH TO APPROPRIATELY MARK THE FIRST ANNIVERSARY. EVENT EXPENSES WITHIN MARATHON RELATED EXPENSES WERE $501,568. - THE B.A.A. BOSTON MARATHON IS A MEMBER OF THE WORLD MARATHON MAJORS, WHICH IS COMPRISED OF SIX EVENTS FROM THE CITY MARATHONS IN BOSTON, TOKYO, LONDON, BERLIN, CHICAGO AND NEW YORK CITY. THE WORLD MARATHON MAJORS IS A LEADERSHIP ORGANIZATION FOR THE SPORT AND POSITIONS THE EVENTS AS BEST-OF-CLASS IN THE SPORT, ADDING A LEVEL OF PRESTIGE AND RECOGNITION AROUND THE HOST ORGANIZATIONS AND CITIES, AS WELL AS PROVIDING A PEER RESOURCE OF GROUP WHICH COLLABORATES ON OPERATIONAL, MEDICAL, ATHLETIC, MARKETING AND COMMUNICATION ISSUES. THE WORLD MARATHON MAJORS INCLUDES AN ATHLETIC SERIES IN WHICH ITS CHAMPIONS WIN PRIZE MONEY AWARDS THROUGH A POINTS SYSTEM.

IN FISCAL YEAR 2012, THE BAA ESTABLISHED THE DISTANCE MEDLEY, WHICH IS A THREE RACE SERIES THAT COMBINES THE BAA 5K,BAA 10K, AND BAA HALF MARATHON. THE PRIZE MONEY AWARDED INCLUDES A PURSE FOR EACH RACE AND BONUS INCENTIVES FOR THE TOP FINISHERS IN THE INDIVIDUAL EVENTS AND FOR EVENT RECORD TIMES SET AT THESE EVENTS. TOTAL AMOUNT OF BONUS PRIZE MONEY AWARDED FOR THE 2013 DISTANCE MEDLEY EVENTS WAS $200,000. THE BONUS STRUCTURE HAS SINCE BEEN REVISED. THE POTENTIAL PRIZE MONEY FOR THE 2014 DISTANCE MEDLEY IS UP TO $175,000. DISTANCE MEDLEY EXPENSES OF $89,976 AND $231,841 WERE INCURRED IN 2014 AND 2013, RESPECTIVELY, AND ARE RECORDED IN THE STATEMENT OF ACTIVITIES AND CHANGES IN NET ASSETS WITHIN THE APPLICABLE RACE EXPENSES IN PROPORTION TO THE REVENUE EARNED BY EACH RACE IN THE DISTANCE MEDLEY. THE DISTANCE MEDLEY ALSO SERVES AS A DEFACTO FITNESS CALENDAR FOR MANY ENTRANTS, AS THEY PROGRESS TO LONGER DISTANCE EVENTS OVER THE COURSE OF THE YEAR, ALL IN FURTHERANCE OF THE BAA'S MISSION OF PROMOTING HEALTH AND FITNESS. - THE BAA RUNNING CLUB, WHICH PROVIDES COACHING, TRAINING AND COMPETITIVE OUTLETS FOR ITS 300 MEMBERS. THE CLUB IS A 52-WEEK PER YEAR EFFORT WHICH INCLUDES PRACTICES, WORKOUTS, RACING AND VOLUNTEER ACTIONS. IN 2013, THE B.A.A. ADDED A HIGH PERFORMANCE COMPONENT TO ITS ALREADY-EXISTING B.A.A RUNNING CLUB. THIS GROUP COMPRISES AN ELITE TEAM OF 8-12 AMERICAN RUNNERS SUPPORTED BY THE ORGANIZATION AT THE LEVEL NECESSARY TO ACCOMPLISH THE HIGHEST ATHLETIC PURSUITS WITHIN THE SPORT OF RUNNING, SUCH AS MAKING WORLD CHAMPIONSHIP AND OLYMPIC TEAMS. THE ESTABLISHMENT OF THE HIGH PERFORMANCE TEAM IS CONSISTENT WITH THE B.A.A.'S MISSION OF PROMOTING ATHLETICS THROUGH RUNNING. - TRAINING CLINICS AND SEMINARS THAT ASSIST INDIVIDUALS IN TRAINING AND PREPARING FOR ATHLETIC COMPETITION AND IN PURSUING A HEALTHY LIFESTYLE GENERALLY. - CLUB 118 IS A PROGRAM THAT ALLOWS MIDDLE SCHOOL AGED CHILDREN FROM THE CITIES AND TOWNS ALONG THE BOSTON MARATHON ROUTE AND SURROUNDING COMMUNITIES THE OPPORTUNITY TO TRAIN AND COMPETE AS RELAY TEAMS IN BOSTON ON MARATHON WEEKEND IN THE BAA RELAY CHALLENGE, THEREBY PROMOTING THE HEALTH AND FITNESS OF THOSE CHILDREN AND OTHERS IN THEIR COMMUNITIES AND ELSEWHERE. MORE THAN 800 CHILDREN PARTICIPATED, AND OVER 19,000 HAVE PARTICIPATED SINCE THE INCEPTION OF THE PROGRAM. - COORDINATION AND STAGING OF THE BOSTON MIDDLE SCHOOL CROSS COUNTRY PROGRAM INVOLVING STUDENTS FROM 13 BOSTON PUBLIC SCHOOLS. THE MULTI-WEEK PROGRAM CULMINATES IN CHAMPIONSHIP RACES IN FRANKLIN PARK IN BOSTON, AND IS INTENDED AS AN INSPIRATIONAL INTRODUCTION TO THE SPORT AND A HEALTHY LIFESTYLE. ADDITIONALLY, SINCE 1997 THE BAA ANNUALLY SUPPORTS AND SPONSORS THE BOSTON MAYOR'S CUP CROSS COUNTRY AND YOUTH RACES AT FRANKLIN PARK IN BOSTON. THIS EVENT HAS 1000 COMPETITORS, INCLUDING OLYMPIC LEVEL ATHLETES BUT IS ALSO A GRASSROOTS INITIATIVE GEARED TOWARDS LOCAL AREA RUNNERS OF ALL AGES AND ABILITIES. - FINANCIAL AND PERSONNEL SUPPORT TO THE PLAYWORKS PROGRAM AT THE MARTIN LUTHER KING SCHOOL IN THE ROXBURY SECTION OF BOSTON.
