“Members of the organization are invited to participate in the annual membership meeting. During this meeting, members vote to approve the slate of officers and board members, and any by-law changes.”

“The chair shall be elected to a two-year term. Other officers, except for the president and ceo shall be elected annually by the members of the association and shall take office upon the conclusion of the annual meeting. Each officer shall hold his/her office until he/she shall resign or shall be removed or otherwise disqualified to serve, or his/hersuccessor shall be elected and qualified. The secretary and treasurer may serve up to three (3) consecutive one-year terms, if so nominated by the nominating committee and approved by the vote of the membership. The immediate past chair shall serve in the first year of the new chair term of office and the chair-elect shall serve in the second year of the chair's term of office.”

“Members have to ratify the governing bodies' recommendation for officers and board members.”

“The form 990 is prepared by the alliance's accountants with supporting documentation provided by management. The completed form 990 is reviewed and approved by management befre it is filed with the irs.”

“Secretary or chair reviews antitrust and conflict of interest policy. In addition, board members are asked to sign the conflict of interest policy statement annually.”

“The board chair conducts annual performance reviews of other officers and key employees and submits compensation adjustments recommendations to the executive committee of the board of directors for approval.”

“The alliance's governing documents, conflict of interest polciy and finanical statements are made available to public upon request.”
