Governance Explanations

Form 990, Part VI, Section A, Line 7A

Peace properties and affiliates board of directors consists of 17 members. They have an annual election in december. Terms are for three years. Members elect a majority or nine members. Members then appoint other members to three year terms.

Form 990, Part VI, Section A, Line 7B

A majority vote is required on board decisions. Members from the neighborhood of east boston elect members. That is the by-law.

Form 990, Part VI, Section B, Line 11B

The form 990 is reviewed by the board, specifically the president and co-vice presidents before the return is filed.

Form 990, Part VI, Section B, Line 12C

Noah and affiliates' board of directors and management are required to file an annual conflict of interest form. These forms are collected and maintained at noah's administrative office. If a conflict arises, it is discussed at the board meeting and noted in the minutes. The particular board memeber is excluded from voting on a particular issue that he/she has a conflict.

Form 990, Part VI, Section B, Line 15

The board reviews and examines all information presented by the board president and executive committee after review of the executive director. The executive director reviews the compensation for all senior staff.

Form 990, Part VI, Section C, Line 19
