The board of directors reviews the form 990 before filing.

The conflict of interest policy is distributed in new board member informational packets and is distributed annually to each board member. A conflict of interest disclosure form is completed by each board member and collected annually. The executive director maintains these files and shares any disclosures with the board chairperson. If any disclosed conflicts are parties to decisions made by the board, the conflict will be stated and the board member who is involved in the conflict of interest is requested to be absent during any discussion and vote on the matter. This process is documented in monthly board of directors minutes. All minutes and copies of conflict of interest disclosure forms are reviewed annually during the agency audit.

The personnel committee reviews current comparative data available from new england non-profit organizations. The most frequently utilized survey is published by third sector new england. This survey provides data including average salaries based on agency budgets, geographic regions, type of organization, and number of employees. In addition, the executive director is reviewed periodically by the board of directors. After the performance review has been completed, the personnel committee makes a recommendation to the full board regarding any salary adjustment for the executive director.

Financial Statement Notes

PART X, LINE 2:

Professional accounting standards provide detailed guidance for the financial statement recognition, measurement, classification and disclosure of uncertain tax positions. They require an entity to recognize the financial statement impact of a tax position when it is more likely than not that the position will be sustained upon examination. A tax position is deemed to include such things as the organization's tax exempt status. Management has not identified any uncertain tax positions and, therefore, no liability has been recorded in the financial statements. The organization's income tax filings are subject to audit by the internal revenue service. The organization's open audit periods are 2013-2015.
