Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is presented to the finance committee with the annual audited financial statements. The form 990 is reviewed by the finance committee prior to its filing.

Form 990, Part VI, Section B, Line 12C

Transactions with related parties are reviewed by the board of directors. The ceo and senior management monitor and enforce compliance with the conflict of interest policy on an ongoing basis throughout the year. The organization discloses any related party transactions in the annual financial statements.

Form 990, Part VI, Section B, Line 15

The ceo compensation is determined by the agency's board of directors using industry related benchmarking with peer groups, annual performance goals, and obtaining competitive compensation research analysis including demographics such as geographical location, type of industry, size and revenue of the agency. Several vetted and reputable external resources are utilized including the review of public financial information of same or like competing industries in the region and nationwide. The total compensation comprises a fixed salary and bonus incentives to align with achieving performance milestones relative to the agency's mission, vision and values. The ceo reviews and approves the salaries of the senior management staff. The level of compensation is compared to the salaries of similiar positions in other non profit agencies of similar size and mission. The annual salary survey produced by the massachusetts association of approved private schools, association of behavioral health, department of labor wage analysis and other salary survey which are produced periodically by other trade associations are utilized. Typically, these surveys do not track employment benefits and senior managers receive such benefits consistent with cutchins' personnel policies and practices manual for all employees.
