Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is presented to the finance committee with the annual audited financial statements. The form 990 is reviewed by the finance committee prior to its filing.

Form 990, Part VI, Section B, Line 12C

Transactions with related parties are reviewed by the board of directors. The executive director and senior management monitor and enforce compliance with the conflict of interest policy on an ongoing basis throughout the year. The organization discloses any related party transactions in the annual financial statements.

Form 990, Part VI, Section B, Line 15

The board of directors reviews and approves the salary of the ceo annually. The level of compensation is compared to the only extant survey of massachusetts non profit executive director compensation, produced by the massachusetts associations of approved private schools (maaps). That survey presents data in a two variable grid: agency size (by budget) and compensation range (high, medium, and low). Benefits which are not tracked in the survey are in addition and granted consistent with cutchins' personnel policies and practices manual for all employees. The ceo reviews and approves the salaries of the senior management staff. The level of compensation is compared to the salaries of similiar positions in other non profit agencies of similar size and mission. The annual salary survey produced by the massachusetts association of approved private schools and other salary survey which are produced periodically by other trade associations are utilized. Typically, these surveys do not track employment benefits and senior managers receive such benefits consistent with cutchins' personnel policies and practices manual for all employees.

Form 990, Part VI, Section C, Line 19
