Mission and Program Overview

Mission

The Danforth Museum is dedicated to the celebration and creation of art. Established in 1973, the Museum is a non-profit privately supported public art museum. Its principal purpose is to further the appreciation and understanding of art and culture by providing education in the visual arts through its vast collection of American art, exhibitions, the Museum School and outreach programs in the surrounding community.

The Danforth Museum and School of Art actively engages its communities in an intimate environment to experience, create and celebrate art through exhibitions, educational programs and studio art classes

Trustees Amy Rossi and Michael Rossi are mother and son. Trustees Paul and Marcia Rosenberg are husband and wife. None of these individuals receive any compensation from the organization.

Revised By-laws were voted on and approved October 14, 2014. Significant changes include: -Increase size of Board of Trustees to 40 -Remove certain provisions limiting appointment of ex-officio members -Provide that size of Board may be changed by a 2/3 vote -Change notice requirement for special meetings of Executive Committee from 14 to 7 -Change requirement of distribution of minutes from 20 to 10 days from meeting date -Add provision for removal of officers -Reduce number of named commitees -Provide that By-laws may be amended by 2/3 vote of members of the Corporation

The Director of Finance and the Executive Director separately review the completed Form 990 prior to it being forwarded to the Finance Committee for their review. After approval by the Finance Committee it is forwarded to the Excutive Committee and ultimately a copy is provided to each member of the Board of Trustees.

At the annual meeting the Chair of the Governance Committee and/or of the Board reviews the conflict of interest policy with all Board members and explains how it is submitted and reviewed. Board members are encouraged to bring potential conflicts to the attention of the Board Chair so that the issue can be reviewed by either the Executive Committee or the full Board. Responsibility to ensure all Board members have completed and submitted the policy form, and that any requisite actions are taken, resides with the Chair of the Governance Committee.

Executive Committee periodically evaluates the Executive Director's compensation by developing comparables through Guidestar and other resources and also solicits comments and opinions from members of the Board of Trustees. Criteria evaluated include performance, length of time since previous increase and tenure with the Organization. Noncash contributions include $254,537 of imputed interest from mortgage payable with Town of Framingham for acquisiton of new facility and $67,540 of services provided by the Organization to the Town as required by the terms of the mortgage agreement. The terms of the purchase included a commitment by the Organiztion to provide at least $500,000 of Services to the Town over five years through January 2019. The capitalized cost of the building reflects this commitment.

Financial Statement Notes

Part III, Line 1A:

As is permitted under U.S. generally accepted accounting principles the Museum's permanent collection acquired through purchase or donation is not recognized as an asset in the accompanying financial statements. Accordingly revenue is not recognized from donations of artwork and purchases of artwork are recorded as a reduction in net assets in the year in which the item was acquired.

The Danforth provides visitors with entertaining and educational experiences in the visual arts, educating the public through its collection of American art and changng exhibits of contemporary artists.

Part X, Line 2:

Generally accepted accounting principles as practiced in the United States require an entity to assess the probability that a tax position has a "more likely than not" (MLTN) sustainability after review by tax authorities. If a tax position is deemed not to meet this threshold, any unrecognized tax benefits and costs are estimated and recognized. Interest and penalties, if any, related to assessments by tax authorities will be classified as a component of interest expense and other expense, respectively, in the statement of activities. A tax position may be considered as taken any time a taxpayer chooses amongst alternatives that affect the amount of their tax obligations and include for example: tax exempt status; status as a pass-through entity (S Corporations, etc.); decisions made in the process of conforming with tax laws; decisions not to file in certain jurisdictons; allocation of income between jurisdictions and the characterization of income expenses. Tax returns are routinely open for review by the tax authorities for three years from their due date. In certain circumstances the statute of limitations may remain open indefinitely. The Museum has been notified by the Internal Revenue Service that it meets the qualifications to be classified as a tax exempt entity under section 501(c)(3) of the Internal Revenue Code. Since the continuance of this status is based upon continuing qualification, the Museum has identified this as a tax position. However, it has determined that this tax position meets MLTN sustainability and does not result in an uncertainty requiring recognition.
