Governance Explanations

Form 990, Part VI, Section B, Line 11

A copy of form 990 is provided to the board of directors for their review and comment prior to mailing of the form to the irs.

Form 990, Part VI, Section B, Line 12C

Employees, management and board members are required to complete and submit pertinent information annually.

Form 990, Part VI, Section B, Line 15

The initial compensation for a new executive director or a new administration & finance director is established by the hiring committee at that time, typically comprised of the board president and members of the board of directors' executive committee, based on an analysis of the position(s) and comparable rates for similar positions of like agencies taking into consideration the experience and expertise of all the various individuals. Subsequest salary increases for these two positions most often occur when agency-wide increases are reviewed and approved by both the personnel and audit & finance committees of the board of directors. Occasionally, the personnel committee will undertake a review of the department heads, which include the executive director and the administration & finance director, which includes a comparison of their current salary to others in similar positions in agencies in the same industry within the surrounding vicinity.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request. The public can also view form 990 on the guidestar website and the ufr on the massachusetts operational services division website.
