Education Development Center, Inc. (EDC) is a global nonprofit organization with a mission to advance every person's journey to learn, work, and be well. Working closely with public-sector and private partners, EDC achieves lasting impact by evaluating, advancing, and leading effective solutions.

EDC is a global nonprofit organization that creates learning opportunities for people around the world, empowering them to pursue healthier, more productive lives. EDC manages 250 projects in 22 countries. Our work is organized by Bodies of Work: Behavioral, Physical, and Mental Health; Capacity Building for Individuals, Organizations, and Systems; Early Childhood Development and Learning; Elementary and Secondary Education; HIV and Sexual and Reproductive Health; Injury, Violence and Suicide Prevention; Mathematics; Out-of-School Learning; Science; STEM; Substance Abuse Prevention and Treatment; Youth and Workforce Development. Our services include: Design and Development; Evaluation; Implementation; Policy, and Research. Regions where we work: Africa, Asia, Eastern Europe, Middle East, Latin America and the Caribbean, United States.

Marvin Suomi and William MacArthur are both directors of two companies that are subsidiaries of Kajima USA, Inc. These companies are not related to EDC nor has EDC conducted any business with those companies.

Form 990, Part VI, Section A, Line 6

EDC was organized as a membership corporation pursuant to the laws of the state of Delaware. Pursuant to Delaware law, four corporate powers are reserved to Members. Those powers are detailed in Article II B of EDC's Amended bylaws which states: B. Members of the Corporation and Their Authority: The Trustees shall constitute the Membership of the Corporation and no person may be a Member of the Corporation who is not also a Trustee. The Members of the Corporation are responsible for the following four actions: 1) Election and removal of Trustees; 2) Approval of amendments of the Certificate of Incorporation; 3) Approval of mergers with another organization; 4) Approval of the sale or disposition of EDC.

Form 990, Part VI, Section B, Line 12C

EDC has a conflict of interest policy that governs trustees and officers and a separate policy that governs all other EDC employees. The officers' and directors' policy requires an annual training, disclosure, and certification with mandatory updates and also upon hire. Potential conflicts are managed by a Conflicts Committee comprised of EDC's General Counsel, V.P. of Human Resources, and Director of Corporate Compliance who have no connection to the potential conflict.

Form 990, Part VI, Section B, Line 15

The Executive Committee of the Board (serving as the Compensation Committee) sets and approves the C.E.O. compensation as well as compensation proposed by the C.E.O. for the senior vice presidents and the Chief Financial Officer. The Executive Committee contracts periodically with an independent compensation consultant to review the comparable organizations and provide them advice as to the appropriate pay levels for the other senior executives. Each year the C.E.O. works with the V.P. of Human Resources to recommend appropriate pay levels for other senior executives based on objective market data and performance information. For other employee levels, the Executive Committee will provide and monitor adherence to the approved compensation philosophy and systems through management reports and surveys. Market data is gathered on an ongoing basis from reliable and valid sources. Decisions and deliberations are contemporaneously documented.

IRS990/Desc0International Development: During FY16, EDC helped to build high-quality early education programs and improve access to teaching and learning via technology including interactive audio instruction. Much of our work includes expanding job skills, work readiness, and entrepreneurship activities, and working with technical vocational education and training (TVET) schools to reduce widespread youth unemployment. EDC's new international programs included workforce development initiatives in Djibouti and Rwanda; NEI-Plus, an early grade reading program in Northern Nigeria; a work-readiness program to assist young people in the Association of Southeast Asian Nations (ASEAN); and Ghana Innovating, a social movement for literacy in that country. With J.P. Morgan, we began a project to boost youth employability in Senegal. During the year, several projects had closing events and issued final reports outlining their impact and results: Yes Youth Can (Kenya), PAJE Nieta and OMAES (Mali), Akazi Kanoze (Rwanda), Workforce Development Project (Bosnia), YES Project (Macedonia), SKYE (Guyana), Measuring Non-Cognitive Skills (Workforce Connections) and Partnership for Advanced Clinical Education (Botswana). EDC also managed the USAID Education in Conflict and Crisis Network (ECCN), a global community of practice composed of USAID implementing organizations.
