From time to time, trustees engage in business relationships outside of and unrelated to their duties as school trustees. Those relationships are disclosed to the board.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by the external auditors, a draft copy is reviewed by management and then reviewed by the board. Revisions, corrections, etc. Are made as necessary. The revised copy is then discussed with the finance committee. Once all are satisfied with the form, it is finalized and filed with the irs.

Form 990, Part VI, Section B, Line 12C

Each year the organization's conflict of interest policy is provided to all officers, directors and key employees. These people are asked to review the policy and sign a statement indicating that they understand the policy, have reported all potential conflicts during the past year in accordance with the policy and will report all potential conflicts during the coming year. All potential conflicts are evaluated by the board to determine if a conflict actually exists. In those instances where the potential transaction is a conflict the board examines the transaction and a vote is taken (with those involved recusing themselves) as to whether the organization will enter into the transaction.

Annually the board conducts a performance review and evaluation of the head of school. The review also establishes the individual's compensation for the following year. This process involves the evaluation of the individual and a review of compensation of comparable positions obtained from the form 990 of similar organizations. The board's deliberation and decision is noted in the minutes of the meeting.

Financial Statement Notes

PART X, LINE 2:

The school is exempt from income taxes as a public charity under section 501(c)(3) of the internal revenue code. Management believes that the school operates in a manner consistent with their tax-exempt status at both the state and federal level. The school annually files irs form 990 - return of organization exempt from income tax, reporting various information that the irs uses to monitor the activities of tax-exempt entities. These tax returns are subject to review by the taxing authorities generally for a period of three years after they were filed. The school currently has no tax examinations in progress.

Form 990, Schedule D, Part XIII

The school's endowment consists of approximately sixty individual funds established for a variety of purposes. Its endowment includes both donor-restricted endowment funds and funds designated by the board of trustees to function as endowments. As required by generally accepted accounting principles, net assets associated with endowment funds, including funds designated by the board of trustees to function as endowments, are classified and reported based upon the existence or absence of donor-imposed restrictions. The school has adopted investment and spending policies for endowment assets that attempt to provide a predictable stream of funding to programs supported by its endowment while seeking to maintain the purchasing power of the endowment assets. The school has a policy of distributing on an annual basis between 4% and 6% of its average annual endowment balance for each of the three fiscal years preceding the end of the previous fiscal year. This is consistent with the school's objective to maintain the purchasing power of the endowment assets held in perpetuity or for a specified term as well as to provide additional real growth through new gifts and investment return.
