Mission Statement

Part i and part iii line 1 (continued) leveraging our location in the heart of boston, our faculty, staff, and alumni work together to provide a student-centered experience. This diverse community builds on its dedication and excellence in education and scholarship to empower graduates to be successful locally, regionally, and globally. Approximately 8,000 students were served this year.

Program Service Accomplishments (continued)

Part iii, line 4a faculty scholarship supports diversified liberal arts concentrations available in the humanities, the natural sciences and the social sciences, along with graduate programs in several fields, most offering career-related professional program tracks and practical experience on or off campus. Part iii, line 4c (continued) the law school's goal is to provide its students with access to an excellent legal education, inspire a commitment to justice, and provide its graduates the opportunity to achieve their career aspirations.

Delegation of Authority to an Executive Committee

PART VI, LINE 1A In the intervals between meetings of the Board of Trustees, the Executive Committee shall have and exercise the authority of the Board of Trustees in the management and execution of the affairs of Suffolk University in all matters except those with respect to which authority is given in the University's bylaws to the Administration and Finance Committee and except those which pursuant to law or specific sections of the bylaws require the vote of the Board of Trustees.

Significant Changes to Governing Documents

PART VI, LINE 4 The University adopted new bylaws in April 2016 that align with best practices in higher education. Significant changes include: establishment of term limits for members of the Board of Trustees; formalization of the role of Provost; establishment of the Compensation Committee and the Committee on Trusteeship; and official recognition of the Executive Committee.

Form 990 Review Process

Part vi, line 11b the controller of suffolk university is responsible for preparing form 990. The completed draft form 990 is submitted for review to the university's tax advisor. Recommended changes are discussed with senior management and incorporated into the return. The draft form is then provided to the audit, compliance, and risk management committee of the board of trustees sufficiently in advance of the filing deadline to enable a detailed and conscientious review by all members of the committee with senior management and the university's tax advisor. All questions and concerns of the audit, compliance, and risk management committee members are addressed and incorporated into the form as appropriate. After the audit, compliance, and risk management committee review, all members of the governing body are provided a link to a password-protected web site on which the entire form 990 can be viewed in advance of the filing deadline. All questions and concerns of the members of the board of trustees are addressed by the treasurer and incorporated into the form 990 as appropriate. After all of the input from the board of trustees and the audit, compliance, and risk management committee has been appropriately addressed, the treasurer of the university is authorized to file the form 990 with the internal revenue service.

Conflict of Interest Policy

Part vi, line 12c the audit, compliance and risk management committee of the board of trustees is responsible for obtaining a conflict of interest disclosure statement from all board members, officers of the university, and all employees of the university holding certain positions as determined by the executive committee, referred to as covered persons. The disclosure statement is to be completed upon first acceding to the office position, upon material change in the information requested, and in august of each year. The audit, compliance, and risk management committee provides the board with a summary report of any conflict of interest at least annually, and more frequently as appropriate. The audit, compliance and risk management committee may invite the covered person to make a presentation at a meeting to discuss the transaction. The audit, compliance and risk management committee will then determine by a majority vote whether the transaction is in the university's best interest, and whether it is fair and reasonable, and therefore whether the university may or may not enter into the transaction.

Compensation Setting Process

Part vi, line 15a president margaret mckenna for the compensation setting process for margaret mckenna, the board of trustees engaged an independent firm to analyze and compare the compensation of ceos at comparable institutions. A committee of the board of trustees worked with the independent firm to analyze the compensation data. After reviewing the results of the study and in consultation with the outside counsel, the committee proposed compensation for the president. A contract was prepared by the outside counsel, which was voted on and approved at a meeting of the full board of trustees. Compensation setting process part vi, line 15b for the compensation setting process of other officers, the board of trustees engaged an independent firm to analyze and compare the compensation of individuals in comparable positions at comparable institutions. A committee of the board of trustees worked with the independent firm to analyze data. After reviewing the results of the study, the committee proposed compensation for the officers. The compensation was voted on and approved at a meeting of the full board of trustees.

Public Disclosure

Part vi, line 19 all requests for governing documents, conflict of interest policy, financial statements and tax returns are received by the president and/or senior vice presidents' offices and are turned over to the treasurer's office for immediate response. Tax returns and financial statements are also available on the massachusetts attorney general's and guidestar's websites.

Change in Net Assets

DESCRIPTION OF ORGANIZATION'S COLLECTIONS

Part iii, line 4 the university's collections consist of works of art, artifacts, rare books, historical documents, and other similar materials that are held for educational, research, scientific, and curatorial purposes. Each of the items is cataloged, preserved, and cared for, and activities verifying their existence and assessing their condition are performed regularly. An example of a collection held by the university is the john joseph moakley archive and institute. The john joseph moakley archive and institute at suffolk university was established by suffolk university in 2001 upon congressman moakley's gift of his papers. The institute is dedicated to the preservation, study, interpretation and celebration of congressman moakley's legacy of service and political and public policy leadership through programming and promotion of joe moakley's congressional papers. The moakley institute curates and presents two types of exhibits on the life and legacy of congressman joe moakley: gallery exhibits and traveling exhibits.

Endowment Funds

Part v, line 4 suffolk university's endowment consists of both donor restricted funds (part v, line 1d) and board restricted funds (part v, line 1e). The university's donor restricted endowed funds consist of approximately 240 individual funds established for a variety of purposes. A majority of the funds provide scholarships and financial assistance to undergraduate, graduate and law school students. The university's board restricted funds are used for a variety of purposes, which include, but are not limited to, scholarships and financial assistance for students, support for fellowships, the creation and funding of department chairs, support for various university centers, and support for the university's teaching and research activities. The university's spending policy is designed to provide the university a stable level of financial support and to preserve the endowment's real value.

Part x, line 2 the university generally does not provide for income taxes since it is a tax-exempt organization under section 501(c)(3) of the internal revenue code. Asc 740, income taxes, permits an entity to recognize the benefit and requires accrual of an uncertain tax position only when the position is "more-likely than-not" to be sustained in the event of an examination by tax authorities. In evaluating whether a tax position has met the recognition threshold, the university must presume that the position will be examined by the appropriate taxing authority that has full knowledge of all relevant information. Asc 740 also provides guidance on the recognition, measurement, and classification of income tax uncertainties, along with any related interest or penalties. Tax positions deemed to meet the "more-likely than-not" threshold are recorded as a tax expense in the current year. The university believes it has no significant uncertain tax positions.
