John connors and susanne joyce are brother and sister and are both trustees and co-presidents on dedham country day's board. Erin and mark epker are married and are both trustees; mark is also treasurer.

The school's members consist of every parent or legal guuardian of a child enrolled at dedham country day.

Following preparation by the business office and the tax advisors, the form 990 is sent to the chair of the audit committee. The audit committee chair reviews the form 990 and provides a copy to all trustees for approximately one week. If there are no questions, the chair requests that the public accounting firm file it with the irs.

Form 990, Part VI, Section B, Line 12C

Trustees, officers, administrators, committee members and advisors of dedham country day school are required to disclose any potential conflicts annually with the head of school within 30 days of the annual meeting. The individual with the potential conflict is able to state his or her position in the meeting and answer any questions however he or she cannot be present when the conflict is discussed and cannot vote on the proposed transaction.

Form 990, Part VI, Section B, Line 15A

The head of school's compensation is determined by a committee consisting of five board members and two faculty members. As part of the search process, a compensation sub-committee was formed consisting of the committee chair and two other board members with employment and financial expertise. The compensation committee collected and summarized relevant benchmark data from the national association of schools and other sources to gain visibility into compensation ranges for similar schools: 1. Schools with operating budgets $6-12m range; 2. New england regional schools; and 3. The number of active and upcoming head searches in peer schools and compensation packages currently being offered 4. They also factored into the equation that the organization is not in the top quartile but more in the 70th percentile range. These and other factors, were all taken into consideration. They then deliberated as a committee and brough their recommendation to the board. While there are no official committee meeting minutes, the group did document their discussions and deliberations with emails that circulated within the group as the process was underway and by retaining the benchmarking data. Compensation for all other employees is determined during the budgeting process based on the percent increase in salaries. The budget is reviewed by the finance committee and presented to the board for review/approval. The head of school signs all contracts.
