John connors and susanne joyce are brother and sister and are both trustees on dedham country day's board. Erin and mark epker are married and are both trustees; mark is also treasurer. Stuart and marie nagode are married and are both trustees.

The school's members consist of every parent or legal guuardian of a child enrolled at dedham country day.

Following preparation by the business office and the auditors, the form 990 is sent to the chair of the audit committee. The audit committee chair reviews the form 990 and makes it available to all the trustees for approximately one week. If there are no questions, the chair requests that the audit firm file it with the irs.

Form 990, Part VI, Section B, Line 12C

Trustees, officers, administrators, committee members and advisors of dedham country day school are required to disclose any potential conflicts annually with the head of school within 30 days of the annual meeting. The individual with the potential conflict is able to state his or her position in the meeting and answer any questions however he or she cannot be present when the conflict is discussed and cannot vote on the proposed transaction.

Form 990, Part VI, Section B, Line 15

Nicholas thacher's most recent compensation package was determined in 2009 prior to the start of the final year in his previous contract. A compensation committee was formed consisting of the board president, vice president and two board members with employment and financial expertise. They looked at comparable salaries for similarly qualified persons in functionally comparable positions at similarly situated organizations. They looked at the cash compensation portion of salaries with the following criteria in the peer group: 1. Schools with operating budgets $6-12m range; 2. New england regional schools; and 3. Head of school positions with individuals with 15 years plus experience. 4. They also factored into the equation that the organization is not in the top quartile for but more in the 70th percentile range and adjusted the numbers accordingly to find the range they should be in. They then deliberated as a committee, negotiated with nick and brought their recommendation to the board. While there are no official committee meeting minutes, the group did document their deliberations and decisions during the process by printing out copies of the emails that circulated within the group as the process was underway. Nick's contract was extended 3 times and there was no need to address the compensation portion of the agreements since the terms remained the same with nick's base salary set in 2009 at $257,960. His contract called for annual increases based either on the cost of living or annually as determined by the board. He also received a deferred compensation portion to be paid out at retirement.
