Governance Explanations

The executive committee has full power and authority to act on all matters between meetings of the trustees, provided it shall not have any power prohibited by statutory law or the bylaws. The executive committee shall consist of the president, clerk, treasurer, chair of the finance committee, chair of the commitee on trusts and such other persons as the board of trustees may appoint.

The school's members consist of every parent or legal guardian of a child enrolled at dedham country day.

Following preparation by the business office and the tax advisors, the form 990 is sent to the chair of the audit committee. The audit committee chair reviews the form 990 and provides a copy to all trustees for approximately one week. If there are no questions, the chair requests that the public accounting firm file it with the irs.

Form 990, Part VI, Section B, Line 12C

Trustees, officers, administrators, committee members and advisors of dedham country day school are required to disclose any potential conflicts annually with the head of school within 30 days of the annual meeting. All individuals sign a disclosure form annually. The individual with the potential conflict is able to state his or her position in the meeting and answer any questions; however he or she cannot be present when the conflict is discussed and cannot vote on the proposed transaction.

The head of school's compensation was determined by the board and is renegotiated periodically with a board subcommittee, benchmarking against the compensation of other heads of similarly sized k-8 schools in our region. The chief financial officer's compensation was also determined by the board. While spreadsheets were generated depicting various scenarios, there are no minutes memorializing the discussions. The process described here was last completed in 2022.
