Mission

See schedule o.the west suburban ymca, located in newton, massachusetts, is a nonprofit community service organization made possible because of charitable donations, member support and dedicated volunteers and staff. The ymca is devoted to education, physical health, mental well-being, and moral development of children, families, and communities. The y strives to incorporate all its programs with the core values of honesty, caring, respect, and responsibility. Founded in 1877, the west suburban ymca has over 13,000 members and program participants, and serves the communities of newton, watertown, belmont, wellesley, and weston with day and resident camps in newton, wayland and east brookfield, ma. All are welcome at our ymca, regardless of ability to pay.

Governance Explanations

Form 990, Part VI, Section A, Line 6

Voting membership shall be open to any person at least eighteen (18) years of age who complies with the requirements of this association regarding membership fees and any other requirements. This shall include sustaining members.

Form 990, Part VI, Section A, Line 7A

The election of the board of directors shall be held at the annual meeting, at which time there shall be chosen a sufficient number of directors, who shall hold office for three years and until their successors shall have been elected and qualified, to fill any existing vacancies. Directors are limited to no more than two (2) successive terms of three (3) years, unless holding an office. They may however, be re-elected to the board after one year's absence. At a regular meeting of the board of directors, at least thirty days preceding the annual election, the chairman shall appoint a nominating committee to nominate members for election to the board of directors as provided for in article vii, section 5 of the by-laws. At least three weeks before the election the nominating committee shall post conspicuously in the association building a copy of this section of the by-laws together with the names of the persons they nominate. Five percent of the voting members of the association may present in writing to the nominating committee, not later than ten days before the annual election, the names of any voting members for nomination. Such names shall be posted immediately by the nominating committee. No person shall be eligible for election as director unless his name shall thus have been submitted to or nominated by said nominating committee.

The form 990 tax return is prepared by audit & tax professionals from the firm, mcgladrey llp. The president & ceo, vp of finance, and the treasurer review the form 990 tax return for reasonableness and accuracy. A public disclosure copy of the return is distributed to all members of the board of directors prior to filing.

All members of the board of directors and the board of trustees must complete and sign our conflict of interest policy annually. The west suburban ymca management reviews disclosures to determine the impact on the organization, which are then addressed and documented.

The board of directors determined the compensation for the interim president/ceo. The board utilized the services of a compensation consultant to help them decide upon the compensation. The board also compared the organization to similar benchmark organizations to further evaluate the compensation to be provided.

Financial Statement Notes

PART V, LINE 4:

The endowment funds are for the use of the organization for its operations and programs.

PART X, LINE 2:

The organization follows the fasb asc 740, "income taxes", which clarifies the accounting for uncertainty in income taxes by prescribing the recognition threshold a tax position is required to meet before being recognized in the consolidated financial statements. The organization recognizes a tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities. Management evaluated the organization's tax positions and concluded that the organization has no material uncertainties in income taxes. With few exceptions, the organization is no longer subject to income tax examinations by the u.s. Federal, state, or local tax authorities for the years before 2010.
