Mission

Sherrill house provides high quality medical, nursing, and rehabilitation services on an in-patient basis to men and women without distinction to race, color, or national origin.

Sherrill house is a non-profit, skilled nursing home maintained and operated by sherrill house, inc. An extension of the ministry of trinity church, copley square, boston, and the episcopal diocese of massachusetts, its mission has been enhanced with the merger of assets of st. Luke's home for convalescents and the frank wood convalescents home.sherrill house provides high-quality medical, nursing and rehabilitation services on an inpatient basis to men and women without distinction as to race, creed, color or national origin. Sherrill house has established a referral system with other health care facilities in the area to ensure complete health services at all levels. It offers to local physicians and house staff a setting in which to render the best skilled care on a short-term or long-term basis. In its concern for the individual, sherrill house aims to be as broad and diverse as the needs of those it serves.

Governance Explanations

Form 990, Part VI, Section A, Line 4

The organization's by-law's were amended and restated as of june 5, 2013. The significant changes included: article ii. Section 1. Corporate members are eliminated. All authority to manage the affairs of the corporation is vested in the governing board, called the board of trustees. Section 2. The board fixes the size of the board; the bylaws do not specify a particular number or a range of trustees. Trustees are elected for staggered three-year terms, so that approximately one-third of the total seats come up for a vote each year. Service is limited to three consecutive full three-year terms, but a person may be elected again after a one-year waiting period. However, this limit on terms applies only with terms beginning june 5, 2013, and in any event does not apply to persons serving as officers. Section 6. The executive committee is a standing committee and consists of the chair, the president, the treasurer and such other trustees as the board may elect. Article iii. Section 3. The quorum for a board meeting is increased from one-third to a majority. Article iv. Section 3(a). The board may elect a chair in addition to the other officers. Article v. The board may employ a chief executive officer, who has general authority and responsibility over the operations of the corporation, subject to direction from the board, the executive committee or officers. The chief executive officer has the authority and responsibility to appoint the medical staff. Article vi section 1. Trustees may not receive compensation for their services but may be reimbursed for expenses. Section 2. Officers may be compensated if the board approves.
