Governance Explanations

Form 990, Part VI, Section B, Line 11B

The Form 990 is prepared by BSO management and reviewed by a paid preparer. The complete 990 is then reviewed by the Audit, Risk and Compliance Committee of the Board of Trustees. The Audit, Risk and Compliance Committee reviews each section and schedule of the 990, focusing on key changes and substantive disclosures. Subsequent to this review, a copy of the final draft 990, which is the version to be filed with the IRS, is placed in a password-protected website for all members of the Board of Trustees to review in advance of their next board meeting. All members of the Board of Trustees receive an email notifying them that the Form 990 is available for review on the site. The final 990 is signed by the Chief Financial Officer or CEO and President and paid preparer.

Form 990, Part VI, Section B, Line 12C

The Boston Symphony Orchestra has a Conflict of Interest Policy. The policy requires that Trustees, Officers and members of a committee with board-delegated powers disclose the existence of any potential or actual conflicts of interest to the Board or to the Executive Committee. The Board or Executive Committee then discusses and votes to determine whether an actual conflict of interest exists. If a conflict exists, the Board or Executive Committee evaluates the particular transaction or arrangement to determine the most reasonable course of action. The individual who disclosed the conflict must leave the Board or Executive Committee meeting during the discussion of, and vote on, the transaction or arrangement that results in the conflict of interest. Additionally, the policy also requires any staff member that has information about a possible conflict, to report the matter, promptly, to their supervisor, the Chief Human Resources Officer or Chief Financial Officer. The Director of Human Resources and the Chief Financial Officer will review the circumstances of the possible conflict with other appropriate management to make the determination about the most reasonable course of action. A breach of the conflict of interest policy is ground for disciplinary action, up to and including termination. Additionally, on an annual basis, all Trustees, Officers, or members of a committee with board delegated powers is provided with a copy of the policy and must sign a statement affirming that they have received, read and understand the policy; they must also affirm that they agree to comply with the policy. As part of this Annual Notice of Policy, each individual is required to disclose any potential or actual conflicts of interest in writing. All responses indicating a potential or actual conflict are subject to review by the Board or Executive Committee as described above.

Form 990, Part VI, Section B, Line 15

The BSO has a designated Compensation Committee, comprised of trustees of the BSO, which sets the process for determining and approving compensation for officers and key employees. The compensation Committee's process includes: (a) development and consideration of comparability data to provide the bases for the Committee's decisions and (b) consideration of (i) applicable accounting and disclosure rules, (ii) emerging trends in corporate governance, and (iii) standards and guidelines promulgated by the Division of Public Charities of the Massachusetts Office of the Attorney General (collectively, the "Compensation Process"). Deliberations of the Compensation Committee in connection with the Compensation Process are contemporaneously documented. When evaluating officers and key employees, the Compensation Committee carefully considers the following factors: (i) duties and responsibilities, (ii) background and experience, (iii) dedication, commitment and work schedule, (iv) leadership, management and professional skills, (v) overall performance and standing, (vi) BSO' salary scale of employees generally, and (vii) the BSO's annual budget. The Compensation Committee's most recent review of officer and key employee compensation occurred in 2023.

The purpose of the endowment is to provide enduring support for the mission of the Orchestra by releasing a substantial and reliable flow of funds to the operating budget. The income earned on the Orchestra's endowment assets may be used for general or donor-restricted purposes and is recorded as net assets without donor restriction or net assets with donor restriction, as appropriate.

The Orchestra accounts for the effect of any uncertain tax positions based on a "more likely than not" threshold for the recognition of the tax positions being sustained based on the technical merits of the position under scrutiny by the applicable taxing authority. If a tax position or positions are deemed to result in uncertainties of those positions, the unrecognized tax benefit is estimated based on a "cumulative probability assessment" that aggregates the estimated tax liability for all uncertain tax positions. The Orchestra has identified its tax status as a tax exempt entity and its determinations relative to income that is considered related and unrelated as its only significant tax positions, however, the Orchestra has determined that such tax positions do not result in an uncertainty requiring recognition. The Orchestra is not currently under examination by any taxing jurisdiction. It's federal and state income tax returns are generally open for examination for three years following the date filed.

IRS990/Desc0Orchestral Music Programs: Internationally recognized as one of the finest orchestras, the BSO is one of the largest orchestral organizations in the world as measured by the scope of its operations. Within the U.S., it is the fourth-largest performing arts institution. Between September 22, 2022 - May 6, 2023, the Boston Symphony Orchestra performed 91 concerts in Symphony Hall for more than 142,521 audience members. The BSO performed works by Mahler, Beethoven, Britten, Mozart, and Ravel and highlighted under-represented composers including Samuel Coleridge Taylor, William Grant Still, William Dawson, Margaret Bonds, and Lilli Boulanger. Programming spoke to timeless themes: the struggle for social justice and the human cost of war. In a continuation of the orchestra's extended exploration of Shostakovich, the BSO performed both of his piano concertos with Yuja Wang and his Symphony No. 13 Babi Yar, which was the last of BSO's multi-year effort to record all of Shostakovich's symphonies. Diversity on stage was found in guest conductors, soloists, and composers. Among the Black, Indigenous, People of Color (BIPOC) artists who had BSO debuts this year were conductors André Raphel and Andrés Orozco-Estrada, cellist Sheku Kanneh-Mason, pianist Awadagin Pratt, South African soprano Golda Schultz, and jazz vocalist Barbara Walker. The BSO performed works by several living women composers including Ella Milch-Sheriff, Unsuk Chin, Julia Wolfe, Jessie Montgomery, and Julia Adolphe and featured Iman Habibi, Carlos Simon, Anthony Davis, and Wynton Marsalis-all BIPOC composers. The Symphony Orchestra was the first American orchestra to perform in Japan after the pandemic. They were enthusiastically received in two performances at Carnegie Hall; and the BSO returned to Europe in May for the first time in five years. The orchestra gave acclaimed performances at the BBC Proms and the Lucerne and Salzburg Festivals followed by performances in Ljubljana and across Germany, concluding in Paris. Keith Lockhart and the Boston Pops shared the festive spirit in 34 Holiday Pops concerts-many of which were sold out. The varied 18 Spring Pops programs included a symphonic version of the Broadway hit Ragtime, trumpeter Bryan Stripling, a celebration of George Gershwin, the always-popular film night, and an immersive video game experience. 105,837 people attended these performances. For 73 days this summer, Tanglewood was filled with a wide range of music-90 concerts by the BSO, Pops, Fellows of the Tanglewood Music Center, guest ensembles, and popular artists and an audience of 292,807. Among the many highlights were concert performances of Mozart's Cosi fan tutte and Orff's Carmina Burana led by Andris Nelsons and performed with the Tanglewood Festival Chorus. Nelsons also conducted works by Mahler, Stravinsky, Gershwin, Carlos Simon, Julia Adolphe, Ravel, and Shostakovich. Joshua Bell, the Lorelei Ensemble, mandolin player Jeff Midikoff, and pianists Jean-Yves Thibaudet and Martin Helmchen were celebrated soloists. The Pops gave thrilling tributes to John Williams and a concert version of Ragtime. Guest ensembles included the Knights; Philharmonia Baroque; and Aaron Diehl Trio.
