Governance Explanations

Trustee Stephen Kay serves on the Board of the Dana-Farber Cancer Institute. The Dana-Farber Cancer Institute employs another trustee, Dr. Robert J. Mayer, MD.

Form 990, Part VI, Section B, Line 11B

The Form 990 is prepared by BSO management and reviewed by a paid preparer. The complete 990 is then reviewed by the Audit, Risk and Compliance Committee of the Board of Trustees. The Audit, Risk and Compliance Committee reviews each section and schedule of the 990, focusing on key changes and substantive disclosures. Subsequent to this review, a copy of the final draft 990, which is the version to be filed with the IRS, is place in a password-protected website for all members of the Board of Trustees to review in advance of their next board meeting. All members of the Board of Trustees receive an email notifying them that the Form 990 is available for review on the site. The final 990 is signed by the Chief Financial Officer or CEO and President and paid preparer.

Form 990, Part VI, Section B, Line 12C

The Boston Symphony Orchestra has a Conflict of Interest Policy. The policy requires that Trustees, Officers, and members of a committee with board-delegated powers disclose the existence of any potential or actual conflicts of interest to the Board or to the Executive Committee. The Board or Executive Committee then discusses and votes to determine whether an actual conflict of interest exists. If a conflict exists, the Board or Executive Committee evaluates the particular transaction or arrangement to determine the most reasonable course of action. The individual who disclosed the conflict must leave the Board or Executive Committee meeting during the discussion of, and the vote on, the transaction or arrangement that results in the conflict of interest. Additionally, the policy also requires any staff member that has information about a possible conflict, to report the matter, promptly, to their supervisor, the Director of Human Resources or the Chief Financial Officer. The Director of Human Resources and the Chief Financial Officer will review the circumstances of the possible conflict with other, appropriate, management to make the determination about the most reasonable course of action. A breach of the conflict of interest policy is grounds for disciplinary action, up to and including termination. Additionally, on an annual basis, all Trustees, Officers, or members of a committee with board delegated powers is provided with a copy of the policy and must sign a statement affirming that they have received, read and understand the policy; they must also affirm that they agree to comply with the policy. As part of this Annual Notice of Policy, each individual is required to disclose any potential or actual conflicts of interest in writing. All responses indicating a potential or actual conflict are subject to review by the Board or Executive Committee as described above.

Form 990, Part VI, Section B, Line 15

The BSO has a designated Compensation Committee, comprised of trustees of the BSO, which sets the process for determining and approving compensation for officers and key employees. The compensation Committee's process includes: (a) development and consideration of comparability data to provide the bases for the Committee's decisions and (b) consideration of (i) applicable accounting and disclosure rules, (ii) emerging trends in corporate governance, and (iii) standards and guidelines promulgates by the Division of Public Charities of the Massachusetts Office of the Attorney General (collectively, the "Compensation Process"). Deliberations of the Compensation Committee in connection with the Compensation Process are contemporaneously documented. When evaluating officers and key employees, the Compensation Committee carefully considers the following factors: (i) duties and responsibilities, (ii) background and experiences, (iii) dedication, commitment and work schedule, (iv) leadership, management and professional skills, (v) overall performance and standing, (vi) BSO's salary scale of employees generally, and (vii) the BSO's annual budget. The Compensation Committee's most recent review of officer and key employee compensation occurred in 2021.

The Orchestra accounts for the effect of any uncertain tax positions based on a "more likely than not" threshold to the recognition of the tax positions being sustained based on the technical merits of the position under scrutiny by the applicable taxing authority. If a tax position or positions are deemed to result in uncertainties of those positions, the unrecognized tax benefit is estimated based on a "cumulative probability assessment" that aggregates the estimated tax liability for al uncertain tax positions. The Orchestra has identified its tax status as tax exempt entity and its determinations relative to income that is considered related and unrelated as its only significant tax positions; however, the Orchestra has determined that such tax positions do not result in an uncertainty requiring recognition. The Orchestra is not currently under examination by any taxing jurisdiction. Its federal and state income tax returns are generally open for the past three years following the date filed by the appropriate tax authorities.

IRS990/Desc0Orchestra Music Programs: From September 2020 - June 2021, the BSO's two beloved orchestral ensembles-the Boston Symphony and Boston Pops Orchestras-created 22 new programs that were available through BSO NOW-the organization's new video streaming portal. The symphony's 15 programs examined American Promise; New Beginnings; the Spirit of Beethoven; A Fragile Peace: Between the Wars; and Pathways of Romanticism. Each hourlong program featured works for up to 65 musicians, chamber pieces as well as works by women or composers of color. Each program also featured multi-disciplinary short videos that illuminated both the music and the historic context. These short films were extremely popular with many audience members asking the BSO to continue producing such enrichment programs even after in-person concerts returned. The Boston Pops created new programs to celebrate the holidays and Valentine's Day. Spring Pops paid tribute to mothers and to John Williams. The Roots of Jazz: American Voices honored Scott Joplin, W.C. Handy, and the great Stride pianist James P. Johnson-innovators who shaped the development of jazz. An Evening with Chris Thile and the Stars of Tomorrow showcased four highly talented high school musicians. BSO NOW brought the BSO's online presence to a whole new level; the programs viewed by 62,550 households. On July 4, 2021, Keith Lockhart led the Boston Pops in the organization's first live performance-the July 4 Spectacular concert from Tanglewood. This free performance for 7,696 people welcomed veterans, health care workers, and first responders. Special appearances by Oscar-award winner Jon Batiste, legendary singer Mavis Staples, and the U.S. Air Force's Singing Sergeants paid tribute to America, acknowledged the losses from the pandemic, and celebrated the spirit that emerges out of dark times. On July 10, the BSO returned to the Koussevitzky stage with Andris Nelsons conducting an all-Beethoven program. CRB-Classical described the BSO's opening night as "euphoric." This abbreviated Tanglewood season at 50% capacity celebrated musicians and audiences sharing once again in the immediacy of music-making. The Tanglewood season offered 14 symphony concerts, two Boston Pops shows including the ever-popular Film Night, 18 TMC chamber and orchestra performances, and a Family Concert. The BSO offered 12 live stream and on-demand Tanglewood concerts that received nearly 20,000 views. Internationally recognized as one of the finest orchestras, the BSO is one of the largest orchestral organizations in the world as measured by scope of its operations. Within the U.S., it is the fourth-largest performing arts institution.
