Governance Explanations

Form 990, Part VI, Section A, Line 3

Form 990, Part VI, Section A, Line 6

Any individual or organization eligible for membership should submit a writen application to the organization.

Form 990, Part VI, Section A, Line 7A

All voting members of the board of directors are elected by members of the organization.

Form 990, Part VI, Section A, Line 7B

International and national members shall be entitled to vote 1) for directors, 2) to amend the articles of incorporation, 3) to amend the bylaws, 4) to initiate new policy on matters of national relevance to the organization's mission and to membership as a whole and 5) to clarify, amend or overturn a policy decision by the board.

Form 990, Part VI, Section B, Line 11B

A copy of the organization's form 990 is reviewed by the board of directors prior to filing.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy covers the board of directors. The organization consistently monitors and enforces compliance with the conflict of interest policy by requiring directors to disclose annually any conflicts of interest. If a possible conflict exists it is brought to the attention of the executive director and the board chair and then discussed by the board of directors. The person who has the possible conflict of interest is prohibited from participating in the board's deliberations and decisions.

Form 990, Part VI, Section B, Line 15

Executive compensation is reviewed annually by the finance, audit and compensation committee. The committee benchmarks comparable executive compensation and considers and recommends salary and maximum bonus potential to the full board of directors for final approval. The annual bonus of the executive is determined by the executive committee based on an evaluation of key performance indicators and a 360 degree review process led by the board chair/s. Both the finance, audit and compensation committee and the full board of directors are advised of the bonus determination. This review was last conducted in april/may 2017.

Form 990, Part VI, Section C, Line 19

The audited financial statements, form 990 and bylaws have been displayed on the organization's website.

Financial Statement Notes

PART X, LINE 2:

The accounting standard on accounting for uncertainty in income taxes addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under that guidance, the organization may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities based on the technical merits of the position. Examples of tax positions include the tax exempt status of the organization and various positions related to the potential sources of unrelated business taxable income (ubit). The tax benefits recognized in the financial statements from such a position are measured based on the largest benefit that has a greater than 50 percent likelihood of being realized upon ultimate settlement. There were no unrecognized tax benefits identified or recorded as liabilities for the years ended december 31, 2018 and 2017.
