Governance Explanations

Form 990, Part VI, Section A, Line 1A

The board may, by a 2/3 vote of the board members from each chamber, designate an executive committee consisting of 3 or more board members (and at least one director from each chamber) and may delegate to such committee the powers and authority of the board in the management of the business and affairs of the corporation, to the extent permitted by these bylaws, and except as may otherwise be provided, by provisions of law. By a majority vote of its members, the board may at any time revoke or modify any or all of the executive committee authority so delegated, increase or decrease but not below three (3) the number of the members of the executive committee, and fill vacancies on the executive committee from the members of the board. The executive committee shall keep regular minutes of its proceedings, cause them to be filed with the corporate records, and report the same to the board from time to time as the board may require.

Form 990, Part VI, Section A, Line 6

Any individual or organization eligible for membership should submit a written application to the organization.

Form 990, Part VI, Section A, Line 7A

All voting members of the board of directors are elected by members of the organization.

Form 990, Part VI, Section A, Line 7B

International and national members shall be entitled to vote 1) for directors, 2) to amend the articles of incorporation, 3) to amend the bylaws, 4) to initiate new policy on matters of national relevance to the organization's mission and to membership as a whole and 5) to clarify, amend or overturn a policy decision by the board.

Form 990, Part VI, Section B, Line 11B

Our auditors will present their audit findings and the 990 to our finance committee, and any additional board members who are interested. A full review of the 990 will be done by our accounting team, director of operations and president.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy covers the board of directors. The organization consistently monitors and enforces compliance with the conflict of interest policy by requiring directors to disclose annually any conflicts of interest. If a possible conflict exists it is brought to the attention of the executive director and the board chair and then discussed by the board of directors. The person who has the possible conflict of interest is prohibited from participating in the board's deliberations and decisions.

Form 990, Part VI, Section B, Line 15A

Executive compensation is reviewed annually by the finance, audit and compensation committee. The committee benchmarks comparable executive compensation and considers and recommends salary and maximum bonus potential to the full board of directors for final approval. The annual bonus of the executive is determined by the executive committee based on an evaluation of key performance indicators and a 360 degree review process led by the board chair/s. Both the finance, audit and compensation committee and the full board of directors are advised of the bonus determination. This review was last conducted in 2024.

Form 990, Part VI, Section C, Line 19

Financial Statement Notes

PART X, LINE 2:

The organization reviews and assesses its tax positions taken or expected to be taken in tax returns. Based on this assessment the organization determines whether it is more likely than not that the position would be sustained upon examination by tax authorities. The organization's assessment has not identified any significant positions that it believes would not be sustained under examination. The organization has identified its tax status as a tax exempt entity as its only significant tax position and has determined that such tax position does not result in an uncertainty requiring recognition. The organization is not currently under examination by any taxing jurisdiction.
