Governance Explanations

Part VI - Governance and Management Disclosures

Part vi, section b, line 11 the form 990 was prepared by a nationally renowned accounting firm in conjunction with the organization's finance department. The form 990 is provided to the full board of directors for their review and comment prior to its filing with the internal revenue service. In addition, the organization's outside accounting firm presents the form 990 to the full board to enable them to fulfill their due diligence and oversight responsibilities. Part vi, section b, line 12 comic relief has a robust conflict of interest procedure to ensure that all officers and directors are compliant with the organization's conflict of interest policy. All officers and directors are required to complete an annual questionnaire affirming receipt of the policy, compliance with its directives and to disclose any financial interests in any actual or contemplated transaction that may constitute a conflict of interest. The questionnaire is reviewed for any potential conflicts and should any be discovered addressed by comic relief in such a fashion as to ensure the integrity of the organization's business transactions. Part vi, section b, line 15 in 2018 comic relief implemented a compensation committee, comprised of members of the board of directors, who are charged with approving all salaries over $100k. This committee is also charged with approving bonuses in collaboration with the ceo. Part vi, section c, line 19 comic relief makes its form 990 available to the public by retaining a copy at its place of business and on its website. The form 990 is likewise published on the internet at www.guidestar.org. The organization's financial statements, governing documents and conflict of interest policy will be provided upon request and at management's discretion.

Financial Statement Notes

FIN 48 - Uncertain Tax Positions

Cr usa follows guidance that clarifies the accounting for uncertainty in tax positions taken or expected to be taken in a tax return, including issues relating to financial statement recognition and measurement. This guidance provides that the tax effects from an uncertain tax position can only be recognized in the financial statements if the position is "more-likely-than-not" to be sustained if the position were to be challenged by a taxing authority. The assessment of the tax position is based solely on the technical merits of the position, without regard to the likelihood that the tax position may be challenged. Cr usa is exempt from federal income tax under internal revenue code (the "code") section 501(c)(3), though it is subject to tax on income unrelated to its exempt purpose, unless that income is otherwise excluded by the code. Cr usa has processes presently in place to ensure the maintenance of its tax-exempt status; to identify and report unrelated income; to determine its filing and tax obligations in jurisdictions for which it has nexus; and to identify and evaluate other matters that may be considered tax positions. Cr usa has determined that there are no material uncertain tax positions that require recognition or disclosure in the financial statements.
