Mission

Comic relief's mission is to drive positive change through the power of entertainment. Comic relief undertakes charitable and educational activities with the aim of eliminating poverty and improving conditions for children and disadvantaged persons in the united states and throughout the world. Comic relief achieves its mission by: 1. Raising awareness of poverty conditions and the issues facing the poor and disadvantaged in the united states and throughout the world. 2. Developing and distributing educational tools and initiatives for school children and teachers in the united states to understand how poverty is perpetuated and the steps that can be taken to eradicate it. 3. Making grants to organizations that are committed to the issues identified by comic relief as having a major effect on the poor and disadvantaged including: the treatment and prevention of hiv/aids and malaria; the education of children and young people; the protection of children at risk.

Governance Explanations

Part VI, Section A, Line 2

Richard Curtis and Kevin Cahill have a business relationship. Part VI, Section B, Line 11 The Form 990 was prepared by a nationally renowned accounting firm in conjunction with the organization's finance department. A copy of the form 990 is sent to the full board for review and alloted a reasonable time period (usually a week) to get back with comments prior to filing with the IRS. Part VI, Section B, Line 12 In 2015, Comic Relief implemented a robust conflict of interest procedure to ensure that all officers and directors are compliant with the organization's conflict of interest policy. All officers and directors are required to complete an annual questionnaire affirming receipt of the policy, compliance with its directives and to disclose any financial interests in any actual or contemplated transaction that may constitute a conflict of interest. Part VI, Section B, Line 15 Prior to the current calendar year, Comic Relief did not have any of its own employees (it utilized services of individuals working with Comic Relief, UK). The individuals reported on Part VII of the Form 990 received their wages from Comic Relief USA. In determining the compensation for these individuals, Comic Relief relied on the services of an independent third party compensation consultant. This consultant surveyed the compensation paid to executives at peer institutions to determine the wages of Comic Relief's officers. To date, Comic Relief has not implemented a full compensation committee (given the organization's small size), but it anticipates establishing a committee as the organization evolves. Part VI, Section C, Line 19 Comic Relief makes its Form 990 available to the public by retaining a copy at its place of business and on its website. The Form 990 is likewise published on the internet at www.guidestar.org. The organization's financial statements, governing documents and conflict of interest policy will be provided upon request and at management's discretion. Part VII, Section A Comic Relief did not provide any employee benefits in calendar year 2016; accordingly, the compensation reported on Part VII represents solely the wages the reported individuals received (per the W-2s filed with the Internal Revenue Service). See Form 990, Part IX, Line 9 for further confirmation. Compensation reported For Officer, Rick Scott, is comprised of payments from two separate organizations. Mr. Scott received his wages from Comic Relief (UK) (for the majority of 2016) in the following amounts: Salary - $98,328 Deferred Comp - $11,517 Benefits - $363 For the remainder of the year, Mr. Scott received his compensation from the filing organization, Comic Relief. His W-2, Box 5 wages totaled $25,962.

Financial Statement Notes

FIN 48 - Uncertain Tax Positions

CR, Inc. follows guidance that clarifies the accounting for uncertainty in tax positions taken or expected to be taken in a tax return, including issues relating to financial statement recognition and measurement. This guidance provides that the tax effects from an uncertain tax position can only be recognized in the financial statements if the position is "more-likely-than-not" to be sustained if the position were to be challenged by a taxing authority. The assessment of the tax position is based solely on the technical merits of the position, without regard to the likelihood that the tax position may be challenged. CR, Inc. is exempt from federal income tax under Internal Revenue code (the "code") section 501(c)(3), though it is subject to tax on income unrelated to its exempt purpose, unless that income is otherwise excluded by the Code. CR, Inc. has processes presently in place to ensure the maintenance of its tax-exempt status; to identify and report unrelated income; to determine its filing and tax obligations in jurisdictions for which it was nexus; and to identify and evaluate other matters that may be considered tax positions. CR, Inc., has determined that there are no material uncertain tax positions that require recognition or disclosure in the financial statements.

Within the first two years, Red Nose Day has raised over $60 million in America.
