Governance Explanations

Form 990, Part VI, Section A, line 6

The members of the Organization consist of those persons who may be elected to membership from time to time by vote of the members at an annual or special meeting, as well as those persons designated as members under the Articles of Incorporation. Members are chosen on the basis of their interest in and ability to contribute to the advancement of the purposes of the Organization.

Form 990, Part VI, Section A, line 7A

At the annual meeting of the members of the Organization, the members elect the Directors (who are also members) and other members of the Organization. The members have no other voting rights in the affairs of the Organization, except when they are serving on the Board of Directors, and then only in their capacity as Directors of the Organization.

Form 990, Part VI, Section B, line 11B

The return is reviewed by the Director of Finance and Chief Financial Officer and reported to Executive Leadership. The tax return is then submitted to the Audit and Finance Sub Committees of the Board of Directors for review, and recommendation of approval by the full Board of Directors at the annual meeting. Each Board Member is given a copy of the return for review prior to the annual meeting, once the full board has approved the tax return, it is signed by the Chief Financial Officer and electronically filed. The Public Information copy is available at the main administrative office upon request.

Form 990, Part VI, Section B, line 12C

Sweetser maintains a conflict of interest policy, which provides guidance and processes to follow regarding annual disclosure by those serving Sweetser in a fiduciary capacity. Annually, Sweetser's directors, officers, non-board committee members and key employees receive a copy of the policy and the annual disclosure form. Disclosures of financial interest and other reportable circumstances are completed and submitted by all appropriate parties. The forms are reviewed by the Chief Financial Officer and the Finance Director to identify all reportable disclosures. In addition, anyone completing the form is apprised of their responsibility to update their circumstances throughout the year. This process is renewed annually in accordance with the conflict of interest policy. It is expected that those with conflicts of interest do not participate in the consideration of proposed transactions or matters; consideration of such is made without the participation of the affected person and such proceedings are appropriately documented.

The Board delegates the responsibility of executive compensation to the Executive Committee of the Board. All members of this committee are independent. The Committee obtains market data comparing executive compensation to health care organizations of similar size and type, utilizing both title and job content comparisons. The Committee reviews the market analysis, recommendations of an independent consultant and approves any salary adjustments for the Executive. All discussions and decisions are documented contemporaneously in meeting minutes.

Nationally recognized and accredited, Sweetser meets individuals where they are at as the largest provider of mobile crisis services in the state of Maine. Sweetser has three Hope & Healing Centers conveniently located in the underserved communities of Brunswick, Sanford, and Lewiston. These walk-in care clinics provide same-day access to care coordination for mental health and recovery needs.
