Our organization is a small, volunteer-led, member-based club within a senior community. Due to financial constraints, we could not afford the high cost of professional tax services?quotes we received were in the thousands of dollars just to file our Form 990-PF electronically. At the time, we were unaware that paper filing was not acceptable for this form and believed we were fulfilling our obligations. Additionally, we have since come to realize that the private foundation structure is not appropriate for a small, informal club like ours. The administrative and filing requirements are beyond our capacity. I was ultimately left alone to manage these complex tax issues, despite having no formal background in nonprofit compliance. As a result, we have decided to dissolve the current organization and have restructured under a more suitable and sustainable framework. We have acted in good faith throughout this process and taken corrective action as soon as we became aware of our missteps. We respectfully ask for your understanding and consideration for penalty relief based on reasonable cause.

We received quotes of several thousand dollars to file Form 990-PF electronically, which we simply could not afford. Due to our limited knowledge and experience, we were unaware that paper filing was not an acceptable method for submitting Form 990-PF. We filed in good faith, believing we were in compliance. Once we were made aware of the e-filing requirement and the broader implications of our tax status, we began taking steps to correct the situation and was directed to use an IRS third party. Upon further review, we also realized that the private foundation structure is not appropriate for a small community club like ours. As a result, we have decided to dissolve the foundation and restructure under a more appropriate and manageable tax status moving forward. We acted in good faith and did our best under the circumstances. We respectfully request that the penalties, if any, be waived due to reasonable cause. Thank you for your consideration.
