Pt VI, Line 11B

The form 990 is reviewed in detail and approved by the Center's Executive Director, Treasurer and Board of Directors

Pt VI, Line 12C

Each director, principal officer and member of a committee with governing board delegated powers shall annually sign a statement which affirms such person: 1) has received a copy of the conflict of interest policy; 2) has read and understands the policy; 3) has agreed to comply with the policy; and 4) understands the Center is charitable and in order to maintain its federal tax exemption, it must engage primarily in activities which accomplish one or more of its tax exempt purposes. In addition, they shall also disclose in such statement any transaction or relationship involving possible conflicts of interest in regard to the Center

Pt VI, Line 12C

To ensure the Center operates in a manner consistent with its tax charitable purposes and does not engage in activities that could jeopordize its tax exempt status, periodic reveiews shall be conducted. The periodic reviews shall, at a minimum, include the following subjects: 1) whether compensation and other arrangements and benefits are reasonable, based on competent survey information, and the result of arms length bargaining and 2) whether partnerships, joint ventures, and arrangements with management corporations conform to the Center's written policies, are propoerly recorded, reflect reasonable investment or payments for good and services, further charitable purposes and do not result in inurement, impermissable private benefit or are an excess benefit transaction.

In connection with any actual or possible conflict of interest, financial or otherwise an interested person must disclose the existence of the interest and be given the opportunity to disclose all material facts to the directors and members of the committee with governing board delegated powers considerating the proposed transaction or arrangement.

Disclosure also includes those transactions or arrangements that may present conflicts of interest that do not involve the person making a disclosure.

After disclosure of the financial or other interest and all material facts, and after any discussion with the interest person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists.

A conflict of interest transaction or arrangement may or may not be approved if the material facts of the transaction and the person's interest are disclosed or known to the board or a committee of the board, and the transaction is authorized, approved and ratified by an affirmative vote of a majority of the directors either on the board or on the committee, who have no direct or indirect interest in the transaction; provided, that a transaction may not be authorized, approved and ratified by a single director. Such majority vote of the directors on the board shall constitute a quorum for the purposes of taking action. An interested person may make a presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction arrangement involving the possible conflict of interest.

The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement.

After exercising due diligence, the governing board of committee shall determine whether the Center can obtain with reasonable efforts a more advantageous transaction or arrangements from a person or entity that would not give rise to a conflict of interest.

If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the teansaction or arrangement is in Center's best interest, for its own benefits, and whether it is fair and reasonable.

In conformity with the above determination, the governing board or committee shall make its decision as to whether to enter into the transaction or arrangement.

The attorney general, in view of the determinations of the board or committee of the board as described above may authorize, approve and ratify the transaction before or after it is completed.

If the governing board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the memeber an opportunity to explain the alleged failure to disclose.

If, after the hearing the member's response and after making further investigationas warranted by the circumstances, the governing board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.

The minutes of the governing board delegated powers shall contain the following: 1) The name of the persons who disclosed or otherwise were found to have an interest, any action taken to determine whether a conflict of interest was present, and the governing board's or committee's decision as to whether a conflict of interest in fact existed. 2) The name of persons who were present for discussions and votes relating to the transaction or arrangement; the content of the discussion , including any alternatives to the proposed transaction or arrangement, the comparability data obtained, and what data was relied upon; and a record of any votes taken in connection with the proceedings and who approved. 3) The terms of the approved transaction or arrangement, date of approval, and any actions taken with respect to those members who had conflict of interest in the transaction or arrangement. Such documentation must be prepared by the next meeting of the governing board and the body must review and approve the record as being reasonable, accurate and complete within a reasonable time thereafter.

The executive director will be responsible to initiate a market survey to compare the Center's salary schedule with the external market for benchmark jobs. This document will be used as the basis for establishing the Center's salary schedule. The executive director is responsible for administering and monitoring the wage and salary plan in accordance with established procedures and in compliance with all applicable government regulations. The Board of Directors approves the salary plan and schedule in the annual Center budget and any exception to the schedule due to the market conditions on recommendations by the Personnel Committee. To assure that salaries paid for work at the Center are competitve with salaries paid for similar jobs in the Center's competitive labor market; a survey will be conducted with other employers. Salary ranges are initially established this way. Salary surveys will be conducted every two years to determine what adjustments should be made.

IRS990/ProgSrvcAccomActy2Grp/Desc0Positive youth development program - provides a safe and supervised place for youth during prime non-school hours to complete homework, have access to computers as well as be engaged with art, skill building, and recreational activities. The program is open to all youth ages 10-21, Monday through Friday. Accomplishments: in FY19 a total of 107 students participated in the program. 76% of the participants increased pre-social behavior and compentencies Truancy Youth Prevention Program - This program aims to make contact with truant youth and those at risk of truancy at the earliest opportunity, providing a wide range of services to the youth and families to stop or prevent the behavior. The target group of middle school-age students is especially susceptible to engaging in truancy, making preventive measures critical at this point. Accomplishments: in FY19, a total of 30 youth were provided case management services. 94 5th grade students participated in the WhyTry curriculum of which 76% youth were able to identify positive and negative peers, seek help and maintain motivation. Home-Based parenting program - provide a best-practice parenting course that includes the availability of individual and family counseling, parental guidance intake assessment, case coordination, management and outreach. Accomplishments: 21 individuals received parenting guidance and 52 individuals benefitted from home-based parenting services.
