Part VI, Line 6 GSMA has Operator Member, Industry Member, Sector Member, and Rapport membership categories. Only Operator Members have voting rights. Associate Members and Rapporteurs do not have any voting rights. The number of votes allocated to a Member is proportionate to the amount of the annual Dues which a Member has paid. Members have the following powers: The ratification every two years of the Board in its entirety; the dismissal of the Chairman, individual members of the Board or the Director General, and certain fundamental transactions.”

“Every two years, the GSMA conducts an election process to appoint the 25-member board. Director General of GSMA serves as a non-voting member of the board. Thirteen seats on the Board are reserved for the thirteen largest mobile operators, based on wireless connections and fixed line connections. The remaining 12 seats are selected by the board based on a number of criteria contained in the GSMA's governance documents. The resulting slate of 25 Board members is presented to the members for ratification.”

The amounts reported on Part VIII and Part IX of the Form 990 were converted from British Pounds to US Dollars using the average conversion rate for the fiscal year ended 12/31/21 of 1.3745. The foreign currency conversion results in an adjusting item to the organization's change in net assets for the period which is reported on Form 990, Part XI, line 9. The financial statements were compiled following international financial reporting standards and received an unqualified audit opinion.”
