“GSMA has Operator Member, Associate Member and Rapport membership categories. Only Operator Members have voting rights. Associate Members and Rapporteurs do not have any voting rights. The number of votes allocated to a Member is proportionate to the amount of the annual Dues which a Member has paid. Members have the following powers: The ratification every two years of the Board in its entirety; the dismissal of the Chairman, individual members of the Board or the Director General,and certain fundamental transactions.”

“Every two years, the GSMA conducts an election process to appoint the 26-member board. Director General of GSMA, Mats Granyrd, serves as a member of the board. Thirteen seats on the Board are reserved for the thirteen largest mobile operators, based on wireless revenues and fixed line wireless connections. The remaining 12 seats are selected by the outgoing board based on a number of criteria contained in the GSMAs governance documents. The resulting slate of 25 Board members is presented to the members for ratification.”

The foreign currency conversion results in an adjusting item to the organization's change in net assets for the period which is reported on Form 990, Part XI, line 9. The financial statements were compiled following international financial reporting standards and received an unqualified audit opinion.”
