Governance Explanations

Form 990, Part VI, Section A, Line 1

Members of the committee on trustees and the executive committee shall be chosen from among the trustees and their membership on any of said committees shall terminate if they cease to be a trustee. The chair of the board and the head of school shall each be an ex-officio member of all committees, without vote, except that the chair of the board shall be entitled to vote as a member of the executive committee and the committee on trustees. All standing committees shall from time to time report their activities to the board on matters referred to them or falling within their respective fields of interest as set forth herein. The executive committee shall consist of the chair, vice chair, treasurer and secretary of the board and shall exercise such powers and authority of the board in the management of the business and affairs of the corporation, except the power to adopt, amend or repeal the bylaws or taking any other action which has been specifically reserved to the board of trustees, as may be delegated to it by the board.

The form 990 is reviewed by the finance committee and then sent to the board of trustees for any comments or questions prior to finalization of the return.

Form 990, Part VI, Section B, Line 12C

Self-dealing by trustees having a material financial interest in an item before the board is strictly prohibited. Every trustee of the board shall disclose to the board any relationship which he or she may have with any person, corporation or other entity with whom this corporation proposes to enter into any contract or other transaction and which will or may result in financial gain or advantage to such trustee by reason of such relationship. If a trustee shall fail to make such disclosure before the corporation enters into such contract or transaction, the board may request his or her resignation and said trustee shall be liable to the corporation for such financial gain and other damages. The board may authorize the corporation to enter into a transaction between the corporation and a trustee or an entity in which the trustee has a material financial interest provided (i) the trustee with the interest reveals his or her interest to the board and does not vote on the transaction, (ii) the transaction is fair and reasonable to the corporation, (iii) the board determines in good faith after reasonable investigation that the corporation could not reasonably have obtained terms and conditions for such transaction which are materially better from disinterested parties or sources, and (iv) the corporation entered into the transaction for its own.

The compensation committee of the board, with advisement of a lawyer, reviews all documents, including comparable salaries of schools within the los angeles area. Based on this information, a fair compensation is determined. This committee performs these duties for the organization's head of school and any key employees with salaries over $100,000.

The school is a nonprofit, tax-exempt organization as described in section 501(c)(3) of the internal revenue code and is exempt from federal income and state franchise taxes on related income pursuant to section 501(a) of the code and similar provisions of the california franchise tax code. The school does not engage in any significant unrelated trades or businesses. Accordingly, no provision for income taxes is required. Generally accepted accounting principles provide accounting and disclosure guidance about positions taken by an organization in its tax returns that might be uncertain. Management has considered its tax positions and believes all of the positions taken by the school are more likely than not to be sustained upon examination. The returns are subject to examination by federal and state taxing authorities generally three and four years, respectively, after they are filed.
