Governance Explanations

Form 990, Part VI, Section B, Line 11B

Form 990 is prepared by independent accountant. Form 990 was reviewed and approved by the audit committee, consisting of three board members, before filing. The organization emailed each member of the governing body the organization's final form 990 prior to its filing with the irs.

Form 990, Part VI, Section B, Line 12

The institute's board of directors has a conflict of interest policy to ensure that board actions are free from any actual or appearance of conflict of interest. The board chair shall determine whether an actual conflict of interest exists. A director who is involved in a potential conflict of interest is not allowed to vote on any matters related to the conflict of interest.

Form 990, Part VI, Section B, Line 15

The compensation committee, a subset of the iea board of directors, has general oversight of the organization's human resource plan. The committee meets independent of the president to discuss performance relative to the position description and the established goals. Comparable salary surveys are reviewed at a minimum of every three years to benchmark compensation for the position. The committee presents its findings and recommendations, in an executive session, without the president present, to the board for review and approval. The committee and/or the board chair then meet with the president to discuss and document strengths, weaknesses, and goals for the upcoming year. The process described here was last completed in 2022.

Form 990, Part VI, Section C, Line 19

The organization's governing documents, conflict of interest policy, form 990 and financial statements are available to the public upon request.

The caroline d. Bradley (cdb) scholarship is a highly selective scholarship opportunity that identifies exceptionally gifted middle school students and rewards them with a four-year scholarship to a high school that best fits their intellectual and personal needs. As part of the scholarship, iea offers personalized guidance during the school search process and guidance throughout the scholar's high school experience. In 2024, iea named 26 new caroline d. Bradley scholars, who will receive four-year, full-tuition scholarships to the high schools that best fit their personal and academic needs. These scholars joined the current cohort of students, bringing the total number of scholarships awarded to 191 students.

Form 990, Part III, Line 4B

The iea academy program provides students in kindergarten through 8th grade with advanced enrichment classes that promote exploration and application of knowledge. Courses provide compelling content and appropriate challenges taught at a flexible pace with small classes by highly qualified, dedicated professionals. Due to covid 19, iea added programming in a virtual format, which also allowed the program to serve students nationally. In 2024, academy filled 825 seats.

Form 990, Part III, Line 4C

Financial Statement Notes

PART X, LINE 2:

Iea is a nonprofit public benefit corporation as described in section 501(c)(3) of the internal revenue code and is exempt from federal income taxes on related income pursuant to section 501(a) of the code.
