“The members of the board of directors are democratically elected by the general assembly. The term of office is three years, but they can stand for reelection. The election is held every year during the annual general meeting. The directors appoint, democratically, from among themselves, the chairman, tpf president, treasurer and vice-president. The board of directors appoints any other officers according to their merits (resume, interview, project, etc.).”

“According to tpf bylaws, any issue that concerns the philosophy and structure of the association must be voted for or against by the general assembly. The board of directors can only make decisions that concern the everyday running of the association, like accepting a new member, suspending a nonpaying member, taking a new vendor, incurring a certain expense or charging a fee for a specific service. However, when these decisions are made, all the members are informed and have the right to express their disagreement and take that decision to the general assembly.”

“The board of directors receives a copy of form 990 via email prior to its next scheduled meeting. The board reviews, discusses and approves the form 990, along with the year end financial statements.”

“A board member with conflict of interest is precluded from participating in any discussion or voting on subject matters. Employees/officers are also required to disclose all conflict of interest. Any member (not only director or officer) who may have an interest that could create conflicts must report it to the board of directors and the other members must be informed. They will then decide whether the risk is accepted by the group or not.”

“Covid19 discount program given the situation created by covid19, tpf created and implemented the covid19 discount program. Through this program tpf members received a discount of 40% on their annual membership fee for 2020. Also, members were allowed to pay their fees in installments.”

“The gam program was discontinued as it existed before. Due to covid19,traveling was not possible so tpf had to change the format completely. In 2020 the tpf gam took place online. The satisfaction and needs analysis program was discontinued temporarily too due to the difficult situation of the international commerce because of the pandemic.”
