Governance Explanations

Form 990, Part VI, Section B, Line 11

The return was reviewed with cmtc's board of directors prior to its being filed.

Form 990, Part VI, Section B, Line 12C

Disclosure are monitored. If a conflict arises the board member is asked to excuse himself/herself from all discussions and voting on the issue.

Form 990, Part VI, Section B, Line 15

Ctmc hires an independent compensation consultant to do a compensation study, comparing our positions and job descriptions to the like in the industry and in other compensation indexes. The consultant uses as many as 8-9 compensation indices for a broader median response. We update current salary band ranges for each position in the company based on the compensation study and present them to the compensation committee of our board of directors. The compensation committee reviews the results and makes its recommendation to the board for final approval.

Form 990, Part VI, Section C, Line 19

All required documents are available for public inspection upon request. Audited financial statements are provided annually to dun & bradstreet and filed with the registry of charitable trusts. Forms 990 and 990t are also available via the guidestar website, among other internet resources.

Form 990 Part III Line 1 Continuation of Mission Statement

Medium-sized companies. These companies are critical to california, representing 90% of job growth for high-paying jobs having a 3-5 job multiplier effect in the economy. This means for every new manufacturing job created or reatined, there are 3-5 supporting jobs.

Financial Statement Notes

PART X, LINE 2:

Cmtc has adopted financial accounting standards board (fasb) accounting standards codification (asc) topic 740, that clarifies the accounting for uncertainty in tax positions taken or expected to be taken on a tax return and provides that the tax effects from uncertain tax position can be recognized in the financial statements only if, based on its merits, the position is more likely than not to be sustained on audit by the taxing authorities. Management believes that all tax positions taken to date are highly certain, and, accordingly, no accounting adjustment has been made to the financial statements. Interest and penalties related to uncertain tax positions are recorded as part of the income tax expense, if applicable.
