DURING THE YEAR, IF A CONFLICT ARISES, THE ISSUE IS BROUGHT TO THE ATTENTION OF EITHER THE CHAIRMAAN OR PRESIDENT. THE ISSUE IS VETTED BY THE EXECUTIVE COMMITTEE AND A MEMBER OF THE COMMITTEE IS APPOINTED TO INVESTIGATE ALTERNATIVES TO THE PROPOSED TRANSACTION OR Arrangement. AFTER DUE DILIGENCE HAS BEEN EXERCISED, THE COMMITTEE WILL DECIDE, THROUGH A MAJORITY VOTE, IF THE RELATIONSHIP WILL BE ENTERED INTO BY THE WALLIS.”

In so doing, the board has done the following to ensure the compensation is reasonable: (1) review has been completed by an independent group, which includes board members (who receive no compensation from the organization); (2) the review uses relevant comparability data; and (3) compensation decisions are documented in official board meeting minutes. These procedures will be applied to all officers and key employees.”

“The Wallis Annenberg Center for the performing arts ("The Wallis") is a California 501(c)(3) not-for-profit corporation dedicated to the preservation and transformation of the historic landmark Beverly Hills Post Office into a vibrant Performing Arts Center with a new adjoining 500-seat theater. The Mission is to provide exceptional theater, dance, music, professional childrens theater, and other arts programming for audiences of all ages and to serve as a major educational, artistic and cultural resource for Beverly Hills and Greater Los Angeles.”

“The Wallis officially opened its doors to the public in October 2013 with its Inaugural Gala, followed by the launch of the 2013-2014 artistic season which ran from November 2013 to June 2014. This first season brought in over 40,000 audience members and 4,000 students and educators (mostly from underserved communities throughout Los Angeles) to enjoy a total of 198 performances in theater, music and dance for all ages. As a result, efforts focused on engaging subscribers and single ticket buyers, institutional marketing to create brand awareness, building our donor base for the Annual Fund, and continuing to raise funds to close the capital campaign.”
