Governance Explanations

Form 990, Part VI, Section A, line 2

Clare Marter-Kenyon, Board Member, and Mark Kenyon, Executive Director, have a family relationship.

Form 990, Part VI, Section B, line 11B

Before being signed by the Executive Director and filed, NET's Form 990s are reviewed by the Board Finance Committee and then presented to the Board of Directors.

Form 990, Part VI, Section B, line 12C

The Conflict-of-Interest policy is monitored and enforced at each fiduciary decision (e.g., financial contract, hiring, onboarding of new board members, etc. process). Implemented fiscal controls act as the primary method for preventing an actual or potential conflict.

Form 990, Part VI, Section B, line 15A

The compensation of the Executive Director is determined by the Board of Directors based on comparable salaries for those in similar positions at similar organizations. Unless there is a superseding agreement, merit-based salary revisions are considered annually.

Form 990, Part VI, Section C, line 19

Upon request.

Part VI, line 13 & 14:

North East Trees has implemented a written whistleblower policy as well as a document retention & destruction policy in 2023.

Financial Statement Notes

Part X, Line 2:

North East Trees is exempt from taxation under Internal Revenue Code Section 501(c)(3) and California Revenue and Taxation Code Section 23701d. Generally accepted accounting principles provide accounting and disclosure guidance about positions taken by an organization in its tax returns that might be uncertain. Management has considered its tax positions and believes that all of the positions taken by North East Trees in its federal and state exempt organization tax returns are more likely than not to be sustained upon examination. North East Trees' returns are subject to examination by federal and state taxing authorities, generally for three and four years, respectively, after they are filed.

IRS990/Desc0NET's Parks and Open Space Program designs and builds public parks and green spaces and implements water conservation projects following LID (low impact development/design) principles. For example, the installation of bioswales helps water travel on paths so it can penetrate the earth before it runs off to the streets and into storm drains. Schools, agencies, foundations, and the City and County of Los Angeles are among the beneficiaries of NET's work eliminating invasive species, planting drought resistant native plants and trees to restore the habitat, and installing site attributes such as playgrounds, public information signage, landscaping and boulders, sidewalks, and drinking fountains.

IRS990/ProgSrvcAccomActy2Grp/Desc0NET's Urban Forestry Program focuses on expanding the Los Angeles urban tree canopy to help cool down and beautify under resourced communities. Working with partners and funders such as City Plants and SoCal Gas, NET plants and maintains street trees along neighborhood streets and gives fruit and shade trees to residents. These trees provide not just the emotional health benefits urban green spaces support, they help manage stormwater and reduce urban heat, which in turn decreases energy costs. And, through outreach and education, NET teaches people how to plant and care for their trees, about the importance and benefits of trees, and how to develop and care for THEIR urban forest.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0North East Trees is exempt from taxation under Internal Revenue Code Section 501(c)(3) and California Revenue and Taxation Code Section 23701d.
