Governance Explanations

Form 990, Part VI

The executive committee shall consist of the president, first vice-president, second vice-president, treasurer, secretary, past president, and one director-at-large. The responsibility of the executive committee is to direct the planning function of the corporation including, but not limited to: ensuring that an annual budget is prepared, ensuring the executive director's job performance and compensation level is reviewed by directors annually or more often if desired, creating standing and ad hoc committees, appointing directors to each standing committee, and overseeing each standing committee. It shall report its works to the board.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an outside cpa firm and is reviewed by our financial management team (finance director, executive director and board finance committee team ). The final 990 is also provided to and reviewed by the board of directors before filing.

Form 990, Part VI, Section B, Line 12C

It is the policy of foothill unity center for staff, volunteers and directors to act at all times in the organization's best interests and to exercise sound judgment unclouded by personal interests or divided loyalties. Both in performing organizational duties and in outside activities, staff, volunteers and directors should avoid the appearance as well as the reality of a conflict of interest. A conflict of interest exists if circumstances would lead a reasonable person to question whether motivations are aligned with foothill unity center's best interests. Should any question arise regarding a conflict of interest, the facts of the situation should be presented to the board of directors immediately for a determination. Board members with the conflict of interest are not allowed to vote on the matter. Board members sign conflict of interest form annually.

Form 990, Part VI, Section B, Line 15A

The board of directors meet in session to review the executive director annually. They utilize an evaluation form with uniform questions to determine if a merit raise is warranted and also use comparative data from industry organization such as center of non-profit management. The executive director annually reviews the compensation of the other officers and key employees. The most recent year in which the review process was conducted was in 2018 during the strategic planning process.

PART V, LINE 4:

As the community action agency for the foothill area, we are the voice for poverty /low income people. We consider it our job to understand and help meet the needs of the underserved with community support. Donor-restricted endowment fund establishes a health services program to provide free or low cost health services and health education to uninsured parents and children of the san gabriel valley.

PART X, LINE 2:

The center has received favorable determination letters indicating it is generally exempt from federal income taxes and california franchise taxes as an organization described in section 501(c)(3) of the internal revenue code and section 23701(d) of the california revenue and taxation code. Generally accepted accounting principles provide accounting and disclosure guidance about positions taken by an organization in its tax returns that might be uncertain. Management has considered its tax positions and believes all of the positions taken by the center are more likely than not to be sustained upon examination.
